Date and Time of Delivery. Delivery of and payment for the Securities shall be made at such location as may be agreed upon by the Representative and the Company (as set forth in Schedule I to the Terms Agreement) at 10:00 A.M., New York City time, on the fifth business day following the date of the Terms Agreement, or at such other time and date as shall be agreed upon, or as provided in Section 5.3. This date and time are sometimes referred to as the “Delivery Date”.

Date and Time of Delivery a) The dates of delivery mentioned in the order forms should be complied with. Delivery times are mandatory. CHUV, HUG, PLEXUS-Santé reserve the right to refuse early deliveries, without additional costs. Should the supplier consider that the delivery cannot be made at the agreed date, it shall immediately inform CHUV, HUG, PLEXUS-Santé and specify the reasons for the delay and the duration thereof.
