Data Room Copy. At least two (2) business days prior to the Closing, Sellers shall deliver to Buyer two (2) flash drives, each containing copies of all of the documents contained in the Data Room.

Data Room Copy. Within five (5) Business Days after the Closing, the Sellers shall deliver or cause to be delivered to Purchaser a correct and complete copy of the contents of the electronic data room maintained by the Sellers in connection with the transactions contemplated by this Agreement, which shall be delivered to Purchaser on a USB drive or by other means reasonably acceptable to Purchaser.

Data Room Copy. Prior to the Closing, the Company shall order, at Buyer’s sole cost and expense, one (1) digital copy each of all documents and other materials made available to Buyer in the Data Room (a) on the date that is two (2) Business Days prior to the execution and delivery of this agreement and (b) as of immediately prior to the Closing, and deliver such digital copies to Buyer as promptly as practicable after the Closing Date (and in any event no later than thirty (30) days following the Closing Date) in the form of a CD-ROM, USB drive or other electronic media. From the date hereof until such time as the aforementioned respective digital copies of the data room are delivered in accordance with the prior sentence, neither Seller nor any Acquired Company shall, and shall cause their respective Representatives not to, add, remove or redact any documents in the Data Room without the prior written consent of Buyer.

Data Room Copy. An electronic copy of the “Project Meerkat” data room being maintained by Seller in connection with the transactions contemplated hereby, reflecting the contents of such data room as of the Closing Date.

Data Room Copy. Prior to the Closing, Seller shall download or cause to be downloaded from Datasite a digital copy, as of the Closing Date, of the virtual data room maintained at ▇▇▇▇▇▇▇▇.▇▇▇ for “Project Austin” and made available to Purchaser and its Representatives (the “Data Room”), to be delivered to Purchaser as promptly as practicable after the Closing Date (and in any event no later than thirty (30) days following the Closing Date) in the form of a secure USB storage drive.

Data Room Copy. Within two (2) Business Days after the date of this Agreement, the Sellers’ Representative shall provide to Buyer, and Buyer shall provide to the Sellers’ Representative, three non-rewritable compact discs or USB drives containing true and complete copies of every document (and only such documents) accessible to Buyer in the Data Room or Sellers’ Representative in the SecureDoc data room established by Buyer as of 6:00 p.m., Kansas City, Missouri time, on the date immediately preceding the date of this Agreement. The applicable Party shall transmit such compact discs or USB drives with a letter stating that such Party is providing such compact discs or USB drives in accordance with the obligations set forth in this Section 5.12.
