Daily management. The Severance Pay Scheme shall have a CEO (chief executive officer) to manage everyday business. The CEO shall be appointed by the Board. The Board may adopt a job description for the CEO.

Ms Sun Wei Jing shall conduct the daily management in the maximum long-term business interests of BXRT with the professional level that the management staff at the equal positions in the companies of the similar kind commonly have, and in compliance with the instructions of the board of directors, the Employment Agreement and the relevant laws and regulations of the PRC. The assistant manager and the Chief Financial Officer (CFO) of BXRT shall be nominated by Party A and employed by the board of directors of BXRT; the financial management system of Party A shall be adopted.

The daily management of the Company as well as the representation of the Company in relation to such daily management may be delegated to one or more directors, officers or other agents, acting individually or jointly. Their appointment, removal and powers shall be determined by a resolution of the board of directors.

The Parties undertake that on the Closing Date SSC Benelux Inc. and ESS, represented by respectively Xxxxx Xxxxx and Xxxxxxx Metdepenninghen, be appointed by the Board of Managers as Executive General Managers entrusted with the daily management of the Company. They can individually confer special powers to third persons. These special powers cannot include any transactions for which an approval of the Board of Managers is required in accordance with Article 5.1.4 (b) or (c). For transactions of less than EURO 25,000, the Company or its Subsidiaries can be represented by an attorney in fact. For any transaction between EURO 25,000 and 150,000, the Company or its Subsidiaries can be represented by two attorneys-in-fact, of which at least one needs to be part of the Key Executives. For any transaction exceeding EURO 150,000, the approval of an Executive General Manager is required, either as a direct representation or by a specific proxy given to a person who is part of the Key Executives. The final approval of a development project by the Real Estate Committee, as evidenced by the signed minutes, is considered as a proxy by the Executive General Managers to close the purchase and construction agreements contemplated therein.

Daily management. This will include day-to-day communication with the City of Victoria and Xxxxxx County as well as all other potentially affected interests and jurisdictions. Monthly invoicing, progress reports, cost and scheduling updates, billing preparation, and other non-technical work will be included under this task.
Daily management. In the morning soon after sunrise, the women look at the sheep in the night enclosure. Births are noted, and any sick animals are isolated for inspection by the extension officer. The flock is taken out for grazing and meanwhile the enclosure is swept and the xxxx put into the manure pit. The food and water troughs are cleaned, and the mineral block is replaced if necessary. Any sheep in isolation are given clean water and food. Before leaving the enclosure, the gate is closed to prevent animals entering it. The sheep are allowed to graze on uncultivated land and on fields after crops have been harvested. Care should be taken to make sure that the sheep do not mingle with other flocks, that they do not go on main roads and that they are not stolen or attacked by dogs or other animals. When a new flock is established the animals are difficult to shepherd because they have come from different sources and do not flock together. But after a few days they recognise each other as members of the same flock and stay together. At midday the sheep are brought back into the night enclosure for about two hours. After this, they again go out to graze until late afternoon. It is important that the sheep graze for at least 8 hours every day. Before the sheep come back into the enclosure for the night, supplementary food is put into the food troughs and the water troughs are filled. YEARLY MANAGEMENT In many parts of the tropics and sub-tropics, there is a dry season and a rainy season. This may result in the ewes conceiving at only one time of year so that the reproductive cycles of most of the ewes are synchronised. On the other hand, the ewes may be able to conceive and lamb in any month of the year although some months are more favourable than others for growth, survival and conception.
