Customers and Suppliers; Accounts Payable. Schedule 3.2(x) sets forth all suppliers that have provided Company with more than US$10,000.00 of goods and services since January 1, 2025 and all customers to whom Company has provided more than US$25,000.00 of goods and services since January 1, 2025 (the “Suppliers and Customers”). The relationships of the Company with its Suppliers and Customers are good commercial working relationships. Except as reflected in Schedule 3.2(x), (i) no supplier is a sole source of supply to the Company, and (ii) none of the Suppliers and Customers has canceled or otherwise terminated, or, to Company’s and Seller’s Knowledge, threatened to cancel or otherwise terminate, its relationship with Company or has, during the last twelve (12) months, decreased materially or threatened to decrease or limit materially, its services, supplies or materials to Company or its usage or purchase of the services or products of Company. Neither Company nor Seller has any Knowledge that any of the Suppliers and Customers intends to cancel or otherwise adversely modify its relationship with the Company or to decrease materially or limit its services, supplies or materials to the Company or its usage or purchase of the services or products of Company.
