Except as set forth in Section 4.27 of the Disclosure Schedule, to the knowledge of the Company and the Controlling Shareholders, there are no facts or circumstances, including the consummation of the transactions contemplated by this Agreement, that are reasonably likely to result in the loss of any material Customer of the Company or any Company Subsidiary or a material change in the relationship of the Company or any Company Subsidiary with such a Customer.
