Customer Personnel. All costs incurred by Customer in respect of its personnel in connection with the policies, including all salaries, wages, benefits (including, but not limited to, compensation, insurance, disability insurance, employees' pension plan, employee welfare benefit plan, unemployment insurance, vacations or leave), and employment-related taxes, shall, as between Administrator and Customer, be borne solely, exclusively, and entirely by Customer. The Parties do not intend, under this Agreement or otherwise, that Administrator shall be required to create, maintain, or provide any benefits or rights for any of Customer's personnel.

Customer Personnel. Specialists qualified to discuss Customer’s products must be present during Event hours. Customer will conduct itself and will require its personnel and representatives to conduct themselves at all times during the Event in accordance with customary standards of decorum and good taste.
Customer Personnel. Customer shall maintain sufficient personnel for the continuance of operations and training through the Services Start Date as well as throughout the Term to fill the roles identified in each Statement of Work or New or Changed Services Order and shall assign such other personnel as required to perform all its obligations under this Agreement. Customer Personnel will be competent in their roles and possess suitable training and skills.
Customer Personnel. Customer acknowledges that Customer Personnel must download and use the IntroHive Software in order to be able to upload Contacts to the IntroHive Platform and search for and request introductions to Contacts uploaded by other Customer Personnel. IntroHive shall have no responsibility or liability for the decision not to download or use, or the inability to download or use, the IntroHive Software by any Customer Personnel. Use of the IntroHive Software by Customer Personnel is contingent upon their compliance with any end user license agreement that may be provided in connection with the IntroHive Software, and IntroHive shall have no liability to Customer for terminating any Customer Personnel’s use of the IntroHive Software as permitted under such an end user license agreement or this Agreement. Customer shall indemnify and hold IntroHive harmless from and against any damage, liability, loss, judgment, action, suit, proceeding, cost or expense (including reasonable attorneys’ fees) arising out of relating to any actual or alleged: (i) infringement, misappropriation or violation of IntroHive’s Intellectual Property Rights by Customer Personnel; or (ii) any willful misconduct, negligence of violation of any law, rule or regulation by Customer Personnel, in each case in connection with their use of the IntroHive Software or IntroHive Platform.
Customer Personnel. The Customer must take all reasonable steps to ensure that its Personnel comply with the Supply Agreement as if they were the Customer.
Customer Personnel. No later than the date of termination hereof, or as ordered by the Mediator, described in ARTICLE 13.5(b) Customer shall cause all Customer Personnel to have removed all of their personal property from Cypress premises. Customer Personnel. Sponsorship Team (ST) The Customer’s ST provides support to the project by allocating resources, providing strategic direction, communicating key issues about the project and the project’s overall importance to the organization. When called upon, the ST will also act as the final authority on all escalated project issues. The ST engages in the project, as needed, to provide necessary support, oversight, guidance, and escalation, and may participate in day-to-day activities in their normal job roles. The ST will empower the Product Owner, Project Manager, Change Manager, Project Management Team and the functional team leads to make critical business decisions for the Customer. Specifically, the ST will: • Understand and support the cultural change necessary for the project • Oversee the project team and the project as a whole • Participate in regular meetings so it is current on all project progress, project decisions, and achievement of project milestones • Communicate the importance of the project to County departments along with other department directors and the Change Manager. • Be responsible for making timely decisions on critical project or policy issues. The Project Management Team (PMT) Customer project team members will work under the direction of the designated Functional Team Leads for each area in the system. The functional leads have detailed subject matter expertise and are empowered to make or obtain from the SC appropriate business process and configuration decisions in their respective areas. The functional leads are tasked, by the Customer Project Manager, with carrying out all project tasks described in the SOW including business process analysis, configuration, documentation, testing, training, and all other required Customer tasks. The functional leads will be responsible for and empowered to implement the new system in the best interests of the Customer consistent with the project goals, project vision, and direction from the Project Manager, the PMT and the ST.

The Parties do not intend, under this Agreement or otherwise, that Vendor shall be required to create, maintain, or provide any benefits or rights for any of Customer’s personnel.
Customer Personnel. Customer may use consultants and subcontractors to assist Customer in implementing the GiveGab Service, exercising Customer’s right to access and use the GiveGab Service, performing an SOW and otherwise performing Customer’s obligations under the Agreement. Customer will remain fully responsible and liable for the performance, actions, and inactions of each such consultants and subcontractors (including any payments that may be owed) and for their compliance with all of the terms and conditions of the Agreement as if they were Customer’s own employees. Nothing contained in this Agreement will create any contractual relationship between GiveGab and any Customer consultant or subcontractor. Customer will enter into written confidentiality and non-disclosure agreements with each such consultant and subcontractor at least as restrictive as the confidentiality and non-disclosure provisions in this Agreement. Customer will notify GiveGab in advance of the name and contact information for any such consultants or subcontractors engaged by Customer to directly interact with GiveGab under the Agreement or a specific SOW. GiveGab reserves the right to require any such consultants or subcontractors to directly enter into a confidentiality and nondisclosure agreement with GiveGab.
