Customer License Terms. If you distribute Client Software and/or Redistribution Software in order to provide Software Services to your Customers, you will incorporate, into your Customer Agreements for any Customers that require such Client Software and/or Redistribution Software, terms and conditions that are substantially similar to, and in any event no less restrictive than, the Customer License Terms contained in Exhibit B. In addition, if you distribute Redistribution Software, you will also incorporate into your Customer Agreements (but only for such Customers that will be using such Redistribution Software) the applicable terms contained in the SPUR regarding the use, modification, copying and/or distribution of such Redistribution Software. You may, subject to confidentiality restrictions, disclose the SPUR to your Affiliates. Customers and Resellers in order to fulfill these obligations.

Microsoft may update the form of the license terms from time to time. Effective Date The date on which the term of a licensing agreement commences—typically the date on which Microsoft accepts the agreement. Service Device A personal computer (desktop PC or laptop) or server containing licensed products that are fully owned or leased by a company, which is rented/leased to a customer, whether or not the company receives payment for such a rental/lease. Services Provider Use Rights (SPUR) Use of any product that is covered under the SPLA is governed by Services Provider Use Rights, which contain the use rights for the licensed products. Software Documentation Any documents included with a licensed product. Zero Use A services provider did not distribute to its end users any of the Microsoft licensed products under the SPLA as a part of delivering services during the reporting period. Customer License Terms. Company's agreement with a Sublicensee shall: ---------------------- (i) contractually obligate the Sublicensee to incorporate the Customer License Terms contained in Addendum B, in substantially similar form, into the terms and conditions of its customer agreements; and (ii) include a provision in its customer agreements that expressly provides that Microsoft is an intended third party beneficiary of the customer agreement with rights to enforce the Customer License Terms; and (iii) require the Sublicensee to cooperate in good faith with Microsoft in investigating instances of non-compliance by a customer of the Sublicensee with the Customer License Terms, if Microsoft believes in good faith that a customer is not in compliance with the Customer License Terms.

For clarity, a single Software license may be re-allocated to another Developer in the event that the original Developer is no longer employed by you or has been assigned to a new role where access to the Software will no longer be required on a permanent basis.

  • SOFTWARE LICENSE GRANT Where Product is acquired on a licensed basis the following shall constitute the license grant:

  • License Types The following License Types may be offered with respect to individual Software products or product families. Additional license types may be specified with respect to certain products or product groups as set forth in the Product Specific Terms. The License Type will be specified in an LSDA.

  • Software License Subject to the terms of this Agreement, Viasat grants to you a personal, non-exclusive, non-assignable and non-transferable license to use and display the software provided by or on behalf of Viasat (including any updates) only for the purpose of accessing the Service ("Software") on any computer(s) on which you are the primary user or which you are authorized to use. Our Privacy Policies provide important information about the Software applications we utilize. Please read the terms very carefully, as they contain important disclosures about the use and security of data transmitted to and from your computer. Unauthorized copying of the Software, including, without limitation, software that has been modified, merged or included with the Software, or the written materials associated therewith, is expressly forbidden. You may not sublicense, assign, or transfer this license or the Software except as permitted in writing by Viasat. Any attempt to sublicense, assign or transfer any of the rights, duties or obligations under this license is void and may result in termination by Viasat of this Agreement and the license. You agree that you shall not copy or duplicate or permit anyone else to copy or duplicate any part of the Software, or create or attempt to create, or permit others to create or attempt to create, by reverse engineering or otherwise, the source programs or any part thereof from the object programs or from other information made available under this Agreement.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Software Licenses Seller has all necessary licenses to use all material third-party software used in connection with the Purchased Assets, and to Sellers’ knowledge, Sellers’ use of third-party software does not infringe the rights of any Person or Entity.
