Currency Control Clause Samples

Currency Control. Nidek represents and warrants that no currency ---------------- control laws prevent the payment to EyeSys of any sums due under this Agreement.

Currency Control. Company represents and warrants that, as of the Effective Date of this Agreement, no currency control laws applicable in countries other than the United States where Company conducts the activities under the Agreement will prevent the payment to GoodData of any sums due under this Agreement. If any such laws come into effect and the local government of the territory where payment will be made does not permit that payment be made in the currency set forth in the relevant Order, Company will notify GoodData immediately, and if so instructed by GoodData, deposit all monies due GoodData to the account of GoodData in a local bank of GoodData’s choice in the affected country.

Currency Control. In the event that any currency control ----------------- laws come into effect in the Territory which prevent the payment to R2 of any sums due under this Agreement to be made in United States Dollars, GEMS will notify R2 as promptly as practicable, and will cooperate with R2 in any procedure reasonably requested by R2 to give effect to the parties' intent under this Agreement without incurring unreasonable costs.

Currency Control. Licensee shall obtain the necessary approvals and registrations (including any reporting requirements to the central bank or monetary authority as the case may be) as required by the appropriate authorities to ensure that all currency control requirements have been met in order to facilitate the smooth and timely payments of the sums (in United States Dollars) due to HBS under this Agreement.

Currency Control. Distributor represents and warrants that no ---------------- currency control laws applicable in the Territory prevent the payment to Echelon of any sums due under this Agreement. In the event that any such laws come into effect and the local government of the Territory does not permit that payment be made in United States Dollars, Distributor will notify Echelon immediately, and if so instructed by Echelon, deposit all monies due Echelon to the account of Echelon in a local bank of Echelon's choice in the Territory.

Currency Control. Regulations Any introduction of or change in currency control regulations in any jurisdiction relevant to any Group Member which the Lenders reasonably believe has or is reasonably likely to have a Material Adverse Effect.

Currency Control. Kobayashi represents and warrants that, on the Effective Date of this Agreement, no currency control laws applicable in Japan prevent the payment to ArthroCare of any sums due under this Agreement.

Currency Control. If, by law, regulations, or fiscal policy of a particular country, payment as provided for above is restricted or forbidden, notice thereof in writing will be given to Bayer and payment of the royalty will be made through such lawful means or methods as Bayer designates. If Bayer fails to so designate such lawful means or methods within sixty (60) days after such notice is given to Bayer, the payment of royalties by Gen-Probe will be made by the deposit thereof in local currency to the credit of Bayer in a recognized banking institution designated by Bayer or, if none be designated by Bayer within such period of sixty (60) days, in a recognized banking institution of which Gen-Probe shall notify Bayer. Any payment made pursuant to this Section 4.7 shall not be considered late or past due nor constitute a breach of this Agreement, including for purposes of Sections 4.4 and 7.1, if such payment is made within forty-five (45) days of (i) Bayer’s designation of lawful means and methods of payment or (ii) the expiration of the sixty (60) day period described in this Section above.

Currency Control. Company represents and warrants that no currency control laws applicable in the Territory prevent the payment to Wherify of any sums due under this Agreement in United States dollars. In the event that any such laws come into effect and the local government of the Territory does not permit that payment be made in United States Dollars, Company will notify Wherify immediately, and if so instructed by Wherify, deposit all monies due Wherify to the account of Wherify in a local bank of Wherify's choice in the Territory. Wherify has the right to suspend performance, and terminate this Agreement, in the event any currency control law prevents payment to Wherify in a manner that is acceptable to Wherify.
