Crunchsoft Obligations Sample Clauses

Crunchsoft Obligations. During the Term and subject to the terms and conditions contained in the agreement, Crunchsoft shall: i. perform the Managed Services in accordance with reasonable respective industry practices; provided, however, such Managed Services will only be performed on the Hardware and Software described in the Estimate and/or Proposal and/or Quote; and if Client breaches any of its obligations under Section 2B, or the Additional Terms and Conditions, then Crunchsoft’s performance of the Managed Services will be excused until such time as Client has cured such breach, including making any repairs, at Client’s expense, to the Hardware and Software resulting from such breach.; and ii. periodically (but only as frequently as Crunchsoft deems necessary in its sole and absolute discretion) check all Monitored Services for any alerts or notifications, and if Crunchsoft receives an alert or notification as part of the Managed Services, then Crunchsoft shall notify Client, within a reasonable time thereafter, of such alert or notification using any means of communication that Crunchsoft may deem acceptable.
