CRITICAL FAILURES. In the event that a Service Level Failure either (a) has a material adverse business impact upon FNIS's Business, or (b) represents a continued failure to correct non-critical Service Failures over a three-month period (in each case a "Critical Failure"), then MGEN shall submit a written report to the FNIS Project Manager detailing the cause of such incident and the remedial measures taken with respect thereto within 15 business days of the Critical Failure. Failure by MGEN to provide and effect such remedial measures within such 15 business day period shall be deemed a material breach of this Agreement. In the event of any interruption in a Critical Service that does not cause a Critical Failure, the MGEN Project Manager shall submit a written report to the FNIS Project Manager detailing the cause of the incident and the remedial measures taken with respect thereto within 30 business days thereafter. Failure by MGEN to provide and effect such remedial measures within such 30 business day period shall be deemed a material breach of this Agreement.

CRITICAL FAILURES. If either Party experiences a Category II Default Failure or Category III Default Failure (a) that involves failing to achieve any Category II Default SLA or Category III Default SLA by more than [redacted] or (b) occurs during a Critical Sales Period, the payments owed by the responsible Party shall be the highest amount set forth in clause (ii) or (iii), as applicable.

  • CLEC OUTAGE For a problem limited to one CLEC (or a building with multiple CLECs), BellSouth has several options available for restoring service quickly. For those CLECs that have agreements with other CLECs, BellSouth can immediately start directing traffic to a provisional CLEC for completion. This alternative is dependent upon BellSouth having concurrence from the affected CLECs. Whether or not the affected CLECs have requested a traffic transfer to another CLEC will not impact BellSouth's resolve to re-establish traffic to the original destination as quickly as possible.

  • Reporting Incidents The Interconnection Parties shall report to each other in writing as soon as practical all accidents or occurrences resulting in injuries to any person, including death, and any property damage arising out of the Interconnection Service Agreement.

  • Epidemic Failure Remedy If an Epidemic Failure occurs, all costs, including but not limited to, replacement Products, parts, upgrades, materials, labor, transportation and inventory replacement arising from an Epidemic Failure shall be borne by Supplier, regardless of whether DXC initiates a field stocking recall or customer-based recall or retrofit, including Products in distributor inventory and DXC’s installed base. Supplier, at its expense, will ensure that such Products, parts or upgrades have the highest shipping priority. DXC reserves the right to procure, upon terms it deems appropriate, similar products to substitute the affected Products, and Supplier shall promptly reimburse DXC for all costs, charges, prices and fees paid in purchasing the substitute products.

  • Lenders’ Failure to Perform All Advances (other than Swing Loans and Agent Advances) shall be made by the Lenders contemporaneously and in accordance with their Pro Rata Shares. It is understood that (i) no Lender shall be responsible for any failure by any other Lender to perform its obligation to make any Advance (or other extension of credit) hereunder, nor shall any Commitment of any Lender be increased or decreased as a result of any failure by any other Lender to perform its obligations hereunder, and (ii) no failure by any Lender to perform its obligations hereunder shall excuse any other Lender from its obligations hereunder.
