Credit to Buyer. Seller hereby grants to Buyer, effective upon the Closing, a $300,000 credit against amounts payable by Buyer to Seller under the Lease Agreements, the Sublease Agreement, the License Agreement and the Services Agreement and, other than payments due under Sections 3.3(a) and (b), amounts due under this Agreement or any other agreement between Buyer and Seller. In the event that the amount of such credit has not been fully applied upon the last to expire of the Lease Agreements, the Sublease Agreement and the Services Agreement, Seller shall promptly pay the remaining portion of such credit to Buyer in cash.
Credit to Buyer. Buyer shall receive a credit for all outstanding security deposits and advance rent payments under each Lease, if any.
Credit to Buyer. Notwithstanding anything in the Original Agreement to the contrary (including but not limited to Section 10 of the Original Agreement), the parties acknowledge and agree that Seller will provide a credit to Buyer for the following quotes (individually and collectively, the “Quotes”):
Credit to Buyer. In addition, Buyer shall receive a credit at Closing in the amount of Seventy-Five Thousand Dollars ($75,000), to be credited against and deducted from the Purchase Price to be paid at Closing; such amount is in exchange for the Buyer’s agreement to accept the physical condition of the Real Property, Machinery and Equipment in their as is condition.

The Agent's notice to the Borrower shall specify (A) the aggregate principal amount of Money Market Loans for which offers have been received for each Interest Period specified in the related Money Market Quote Request, (B) the respective principal amounts and Money Market Margins or Money Market Absolute Rates, as the case may be, so offered and (C) if applicable, limitations on the aggregate principal amount of Money Market Loans for which offers in any single Money Market Quote may be accepted.

  • Notice to the Lenders The Administrative Agent shall give prompt telephonic, telecopy or other telecommunication notice to each Lender of any notice from the Borrower received pursuant to Section 1.6(a) above and, if such notice requests the Lenders to make Eurodollar Loans, the Administrative Agent shall give notice to the Borrower and each Lender by like means of the interest rate applicable thereto promptly after the Administrative Agent has made such determination.

  • Escrow Holder Seller and Buyer covenant and agree that in performing any of its duties under this Agreement, Title Company shall not be liable for any loss, costs or damage which it may incur as a result of serving as Escrow Holder hereunder, except for any loss, costs or damage arising out of its willful default or gross negligence. Accordingly, Title Company shall not incur any liability with respect to (i) any action taken or omitted to be taken in good faith upon advice of its counsel given with respect to any questions relating to its duties and responsibilities, or (ii) to any action taken or omitted to be taken in reliance upon any document, including any written notice of instruction provided for in this Agreement, not only as to its due execution and the validity and effectiveness of its provisions, but also to the truth and accuracy of any information contained therein, which Title Company shall in good faith believe to be genuine, to have been signed or presented by a proper person or persons and to conform with the provisions of this Agreement.

Material representations include, but are not limited to, representations concerning Xxxxxxxx’s occupancy of the Property as Xxxxxxxx’s principal residence.
