Covenant as to Use. EFI hereby undertakes and agrees that it shall make commercially reasonable efforts to use the Licensed Trademarks on or in connection with all Licensed Products and related services, consistent with the Marketing Objectives. EFI shall not use the Licensed Trademarks on or in connection with any goods or services other than the Licensed Products, without Axeda's prior written consent.

  • Covenant as to Common Stock The Company covenants that all shares of Common Stock which may be issued upon conversion of Notes will upon issue be fully paid and nonassessable and, except as provided in Section 10.08, the Company will pay all taxes, liens and charges with respect to the issue thereof.
