Court Supervision. The Trust shall not be administered under the direction or jurisdiction of any court, nor shall there by any duty of the Trustee to account to any court with respect to its administration of the Trust or the Trust Estate.

Court Supervision. The Company and the Executive anticipate that the Company will be able to implement its strategies without the need for a court- supervised proceeding. To the extent that it is determined by the Board of Directors that such a court-supervised proceeding is necessary or appropriate, the Company shall, as expeditiously as possible consistent with the best interests of the creditors and the shareholders of the Company, seek the approval of the arrangements contemplated by the Change in Control Agreement, the Severance Agreement and this Supplemental Compensation Agreement.

Court Supervision. The resolution of Claims under the terms of this Settlement Facility Agreement and the Claims Resolution Procedures and the functions in this Article IV (as specified in this Article IV) and the functions in Articles V and VI herein shall be supervised by the District Court. The District Court shall have the authority to act in the event of disputes or questions regarding the interpretation of Claim eligibility criteria, management of the Claims Office or the investment of funds by the Trust. The District Court shall perform all functions relating to the distribution of funds and all determinations regarding the prioritization or availability of payments, specifically including all functions related to Articles III, VII, and VIII herein.

Court Supervision. If a guardian or court is establishing the Trust Sub-Account as identified in Section 4.a., please complete this section. If a parent, grandparent, or the Beneficiary is establishing the Trust Sub-Account, please skip to Section 5. Please check only one of the two options: □ Option 1: The Court does not require ongoing court monitoring of this trust; or □ Option 2: The Court is retaining supervision of this trust in the following county and case number: If Option 2 is checked and the Court is retaining supervision, please check all that apply: □ The Court requires the trustee to file a trust accounting. □ The Court requires the trustee to seek prior approval of all trust distributions. □ The Court requires the trustee to seek prior approval of trustee fees. □ The Court requires the trustee to seek prior approval of attorney fees. □ The Court requires the guardian to seek prior approval of trust distributions and/or file an account that includes the trust, but the trustee is not responsible for doing so.

Court Supervision. 1. The Court will retain jurisdiction over the settlement and may enter orders as appropriate to enforce it, to adjudicate the rights and responsibilities of the parties, and to effect fair and orderly administration. 2. Any deadlines, dates, or other details in this Settlement Agreement may be changed by the Court on a showing of good cause.

Court Supervision. The Court shall retain jurisdiction over this action beyond the date of final approval of this Agreement only as set forth below and, with respect to paragraphs 1 through 5 below, only for a period of five years from the date of final approval of this Agreement.

Court Supervision. Until the aforesaid action has been dismissed pursuant to Paragraph 63 above, but not thereafter, the Court will retain jurisdiction over the settlement and may enter orders as appropriate to enforce it, to adjudicate the rights and responsibilities of the parties, and to effect fair and orderly administration.

Court Supervision. 7. Defendants shall be obligated to perform their obligations under this Agreement upon the Court's entry of an order approving this Agreement after a fairness hearing pursuant to Fed. R. Civ. P. 23 (e). After entry of such order, this case shall remain pending during administration of the settlement. The Court may enter orders as appropriate to enforce this Agreement, to adjudicate the rights and responsibilities of the parties, to resolve appeals from Defendants and/or disqualified claimants, and to effect fair and orderly administration, as necessary, of the settlement fund. After distribution of all settlement proceeds and satisfaction and completion of all duties and responsibilities imposed by this Agreement, the Court shall enter an order of dismissal effecting the dismissal of all class claims against Defendants with prejudice, and incorporating the terms of this Agreement pursuant to ▇▇▇▇▇▇▇▇ v. Guardian Life Ins. Co., 511 U.S. 375 (1994). 8. Any deadlines, dates, or other details in this Agreement may be amended only by agreement of the parties and after approval of the Court on a showing of good cause.

Court Supervision. The resolution of Tort Claims and the functions of APCRF and the Depository Trust shall be supervised by the District Court. The District Court shall have authority to act in the event of disputes or questions regarding the duty and authority of APCRF, the Depository Trust, the Depository Trustee, the investment of funds in the Depository Trust, and the payment of Tort Claims.
