In the event that no such optional termination occurs and the Mortgage Loans are not sold in an Auction Sale for which the Trustee is required to solicit bids in the event the Master Servicer does not exercise its optional termination right as more fully described in the Agreement, the obligations and responsibilities created by the Agreement will terminate upon the later of the maturity or other liquidation (or any advance with respect thereto) of the last Mortgage Loan remaining in the Trust Fund or the disposition of all property in respect thereof and the distribution to Certificateholders of all amounts required to be distributed pursuant to the Agreement.
