Costs of Disputes. Except as otherwise expressly set forth in this Agreement, the nonprevailing party in any dispute arising hereunder shall bear and pay the costs and expenses (including, without limitation, reasonable attorneys’ fees and expenses) incurred by the prevailing party or parties in connection with resolving such dispute.
Costs of Disputes. The Company shall reimburse the Executive’s reasonable expenses, including legal fees (i) to negotiate and prepare this Agreement up to a maximum of $50,000; (ii) in any dispute under this Agreement in which the Executive prevails on a majority of the material claims.
Costs of Disputes. The parties agree that they will each be responsible for all of their own costs of mediation or arbitration referred to above, including their own costs of legal counsel, presentation and representation. All fees and expenses of the mediator and arbitrator(s) and administrative costs of mediation and arbitration, including the costs of the hearing room, shall be equally shared by both parties.

NetWolves shall pay, at least monthly, all costs and expenses, including attorneys' fees and disbursements, of Groteke in connection with any proceeding, whether or not instituted by NetWolves or Groteke, relating to any provision of this Agreement, including but not limited to the interpretation, enforcement or reasonableness thereof; provided, however, that, if Groteke instituted the proceeding and the judge or other decision-maker presiding over the proceeding affirmatively finds that his claims were frivolous or were made in bad faith, he shall pay his own costs and expenses and, if applicable, return any amounts theretofore paid to him or on his behalf under this Section 27. Pending the outcome of any proceeding, NetWolves shall pay Groteke all amounts due to him without regard to the dispute; provided, however, that if NetWolves shall be the prevailing party in such a proceeding, Groteke shall promptly repay all amounts that he received during pendency of the proceeding.
Costs of Disputes. Each Party shall bear its own costs in connection with any proceeding before an Applicable Regulator to determine a Financial Matter pursuant to Section 3.4(b). Notwithstanding anything contained in the Dispute Resolution Procedure, if a Party refers a matter for resolution pursuant to Section 3.4(d) and is not substantially successful in such proceeding, that Party shall bear its own costs and all reasonable costs incurred by the other Party in connection with the proceeding pursuant to the Dispute Resolution Procedure, as well as the costs of such proceeding.
Costs of Disputes. If any action at law or in equity (inclusive of appellate or bankruptcy proceedings) is or becomes necessary to enforce or interpret the terms and provisions of this Agreement, the prevailing party shall be entitled to reasonable costs thereof, including without limitation reasonable attorney’s fees.
Costs of Disputes. Griffon shall pay, at least monthly, all costs and expenses, including attorneys fees and disbursements, of Balemian in connection with any proceeding, whether or not instituted by Griffon or Balemian, relating to any provision of this Agreement, including but not limited to the interpretation, enforcement or reasonableness thereof; provided, however, that, if Balemian instituted the proceeding and the judge or other decision- maker presiding over the proceeding affirmatively finds that his claims were frivolous or were made in bad faith, he shall pay his own costs and expenses and, if applicable, return any amounts theretofore paid to him or on his behalf under this Section 28. Pending the outcome of any proceeding, Griffon shall pay Balemian all amounts due to him without regard to the dispute; provided, however, that if Griffon shall be the prevailing party in such a proceeding, Balemian shall promptly repay all amounts that he received during pendency of the proceeding.
