Cost of Materials. A change in the price of an item of more than five percent (5%) between the date of Seller’s Quotation and the date of Seller’s procurement or installation shall warrant an equitable adjustment in the Agreement price, which the parties agree to negotiate in good faith.

Cost of Materials. All Physical Materials and Advertising Materials (collectively, the “Materials”) provided by Licensor to SPR/and or to cinemas and other exhibitors shall be at no cost to SPR. All costs of shipping and handling the Materials incurred by SPR, if any, shall be treated as Distribution Expenses as per Sec. 9.1 (b) (vii) above. Licensor’s obligation to timely provide all Materials is of the essence of this Agreement.
