Cost of Goods and Services. Discount payments will be considered when offered. If during the life of any contract, or response awarded, the successful respondent’s net prices generally available to other customers for items awarded herein are reduced below the contracted price, it is understood and agreed that the benefits of such reduction shall be extended to Xxxxxxx County. Failure by the Vendor to notify the County of a decrease in costs for items and/or supplies for which the Vendor was granted a price adjustment, may result in immediate termination of this contract and the County shall not be obligated to pay the Vendor the difference between the contract price and the price adjustment.

The Parties agree that Operator shall pay IPS for Media Services, Social Services, PIE Services, and Custodial Services (together, the “Additional Services”) that IPS is providing in accordance with this Article XI as follows: (a) in year one of the Agreement, an amount equal to three-sevenths of the average cost per full- time employee that IPS pays at other IPS schools for providing such Additional Services (“IPS Cost”); (b) in year two of the Agreement, an amount equal to four-sevenths of the IPS Cost for providing such Additional Services; (c) in year three of the Agreement, an amount equal to five- sevenths of the IPS Cost for providing such Additional Services; (d) in year four of the Agreement, an amount equal to six-sevenths of the IPS Cost for providing such Additional Services; and (e) in year five and thereafter, an amount equal to the full IPS cost for providing such Additional Services. Operator may terminate IPS’ provision of any of the Additional Services for the next school year by providing notice of such termination by no later than February 1 of the then current school year, and absent such termination, IPS shall provide, and Operator shall pay for, such Additional Services. Program Reports and Evaluation. A copy of all program reports and evaluations provided to the Operator’s Charter Authorizer will be provided to IPS on the same schedule as provided to the Charter Authorizer, as well as additional data required via the IPS Innovation Reporting Calendar updated annually.

IPS may discontinue or limit its provision of such life skills program services in the Building if the continued provision of such services would no longer be economically feasible for IPS or if IPS determines, in its sole discretion, that continuing to provide such services in the Building would no longer be in the best interest of IPS or students. The Parties agree that any students receiving life skills program services in the Building shall not be enrolled in the School or included in the School’s ADM count, unless otherwise agreed by the Parties.
