The execution, delivery and performance of the Loan Documents required to be delivered by Borrower hereunder are within its corporate powers, have been duly authorized by all requisite action, and are not in conflict with the terms of any organizational instruments of such entity, or any instrument or agreement to which Borrower is a party or by which Borrower or any of its assets may be bound or affected.
