Corporate or Other Authority. If the Tenant is a corporation or other entity, each individual executing this Lease on behalf of said entity represents and warrants that he is duly authorized to execute and deliver this Lease on behalf of said entity in accordance with the Charter, By-Laws or other governing documents of said entity and that this Lease is a valid and binding obligation of Tenant and any Guarantor of this Lease, enforceable in accordance with its terms.

Corporate or Other Authority. (a) Each Credit Party is duly incorporated, organized or formed, validly existing and is in good standing under the laws of the jurisdiction of its incorporation, organization or formation. The execution, delivery and performance of the Credit Documents are within each Credit Party's corporate or other organizational authority and have been duly authorized by proper corporate or other proceedings.
