Common use of Corporate Matters Clause in Contracts

Corporate Matters. The Administrative Agent shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit Party, the authorization of the Transactions and any other legal matters relating to the Credit Parties, this Agreement, the other Loan Documents or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent.

Corporate Matters. The Administrative Agent shall have received such documents and certificates as the Administrative Agent or Special Counsel may reasonably request relating to the organization, existence and good standing of each Credit Party, the authorization of the Transactions and any other legal matters relating to the Credit Parties, this Agreement, the other Loan Documents or the Transactions, all in form and substance reasonably satisfactory to the Administrative AgentAgent and its counsel.

Corporate Matters. The Administrative Agent shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit Party, the Borrower and the authorization of the Transactions and any other legal matters relating to the Credit Parties, this Agreement, the other Loan Documents or the Transactionstransactions contemplated hereunder, all in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent (or its counsel) shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit Partythe Borrower, the authorization of the Transactions Series A Incremental Term Loans and any other legal matters relating to the Credit Parties, this AgreementBorrower, the other Loan Documents Parties or the Transactionsthis Agreement, all in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit Party, the authorization of the Transactions Amendment No. 1, the Term B Loans and the use of proceeds therefrom and any other legal matters relating to the Credit Parties, this Agreementthe Amendment No. 1, the Term B Loans, and the other Loan Documents or the TransactionsDocuments, all in form and substance reasonably satisfactory to the Administrative Agent.

Corporate Matters. The Administrative Agent shall have received such documents and certificates as the Administrative Agent or Special Counsel may reasonably request relating to the organization, existence and good standing of the Borrower and each Credit of the Guarantors and to the extent that a Loan may be made to or for the benefit of any of them, any such Covenant Party, the authorization of the Transactions and any other legal matters relating to the Credit Parties, this Agreement, the other Loan Documents or the Transactions, all in form and substance reasonably satisfactory to the Administrative AgentAgent and its counsel.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit Party, the authorization of the Transactions Amendment No. 1 Agreement, the Term A Loans and the use of proceeds therefrom and any other legal matters relating to the Credit Parties, this the Amendment No. 1 Agreement, the Term A Loans, and the other Loan Documents or the TransactionsDocuments, all in form and substance reasonably satisfactory to the Administrative Agent.

Corporate Matters. The Administrative Agent shall have received such documents and certificates as the Administrative Agent or Special Counsel may reasonably request relating to the organization, existence and good standing of each new Credit Party, the authorization of this Amendment and the 2001 Sale-Leaseback Transactions and any other legal matters relating to the Credit Parties, this Agreement, the other Loan Documents or the 2001 Sale-Leaseback Transactions, all in form and substance reasonably satisfactory to the Administrative AgentAgent and its counsel.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent or its counsel may reasonably request relating to the organization, existence and good standing of the Borrower and each Credit Partyof its Subsidiaries, the authorization of the Transactions occurring on or prior to the Initial Funding Date and any other legal matters relating to the Credit Parties, this AgreementBorrower and its Subsidiaries, the other Loan Documents or the such Transactions, all in form and substance reasonably satisfactory to the Administrative AgentAgent and its counsel.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit Party, the authorization of Incremental Amendment No. 1, the Transactions Term A-1 Loans and the use of proceeds therefrom and any other legal matters relating to the Credit Parties, this AgreementIncremental Amendment No. 1, the Term A-1 Loans, and the other Loan Documents or the TransactionsDocuments, all in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received such documents and certificates as the Administrative Agent may reasonably request relating to the organization, existence and good standing of each Credit PartyObligor, the authorization of the Transactions Borrowings of Series 1 Loans and any other legal matters relating to the Obligors, the Credit Parties, Agreement or this Agreement, the other Loan Documents or the Transactions, all in form and substance reasonably satisfactory to the Administrative Agent.
