Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Credit Party, dated the Amendment and Restatement Effective Date, signed by the Secretary or Assistant Secretary of such Credit Party, and attested to by a Responsible Officer of such Credit Party, in the form of Exhibit E with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) below, the certificate or articles of incorporation and by-laws (or equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in customary form.

On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Credit Partycertificate, dated the Amendment and Restatement Effective Date, signed by the Secretary or an Assistant Secretary of such each Credit Party, and attested to by Party (or from the Secretary or an Assistant Secretary of the general partner of each Credit Party that is a Responsible Officer of such Credit Partylimited partnership), in the form of Exhibit E F with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) belowdeclaration of trust, the certificate or articles of incorporation and by-laws or other organizational documents (or equivalent organizational documents), as applicable, including partnership agreements and certificates of partnership and limited liability company agreements and certificates of limited liability company) of each such Credit Party and the resolutions of such each Credit Party referred to in such certificate, and each of the foregoing shall be in customary formreasonably acceptable to the Administrative Agent.

Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Credit Party, dated the Amendment and Restatement Effective Date, signed on behalf of such Credit Party by the Secretary Chairman of the Board, the Chief Executive Officer, the President, any Vice President or Assistant Secretary any Director of such Credit Party, and attested to by a Responsible Officer the Secretary or any Assistant Secretary of such Credit Party, in the form of Exhibit E F with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) below, the certificate or articles of incorporation (or equivalent organizational document) and by-laws (or equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in customary formform and substance reasonably acceptable to the Administrative Agent.

Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Person becoming a Credit PartyParty as a result of the Sea Mar Acquisition, dated the Amendment and Restatement Effective Date, signed by the Secretary Chairman of the Board, the Chief Executive Officer, the President or Assistant Secretary any Vice President of such Credit Party, and attested to by a Responsible Officer the Secretary or any Assistant Secretary of such Credit Party, in the form of Exhibit E F with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) below, the certificate or articles of incorporation (or equivalent organizational document) and by-laws (or equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in customary formform and substance reasonably acceptable to the Administrative Agent.
