Common use of Corporate/Capital Structure Clause in Contracts

Corporate/Capital Structure. The Lenders shall be reasonably satisfied with the ownership, corporate and legal structure and capitalization of each of the Company and each of its Subsidiaries, including without limitation (i) their respective charters and bylaws and (ii) the terms and provisions of any capital stock, warrants or other securities issued by the Company or its Subsidiaries and any agreements related thereto.

The Lenders Lender shall be reasonably satisfied --------------------------- with the ownership, corporate and legal structure and capitalization of each of the Company Borrower and each of its Subsidiaries, including including, without limitation (i) their respective charters and bylaws and (ii) limitation, the terms and provisions conditions of any its charter and by-laws, the terms of the Borrower's and such Subsidiaries' capital stock, options, warrants or other securities issued by the Company or its Subsidiaries and any agreements related theretothereto and the management of the Borrower and its Subsidiaries.
