Conveyance of Accounts. The Transferor covenants and agrees that it will not convey, assign, exchange or otherwise transfer the Accounts to any Person prior to the earlier of the termination of this Agreement pursuant to Article XII; provided, however, that the Transferor shall not be prohibited hereby from conveying, assigning, exchanging or otherwise transferring the Accounts in connection with a transaction complying with the provision of Section 7.02.

RPA Seller covenants and agrees that it will not convey, assign, exchange or otherwise transfer the Accounts to any Person so long as any Investor Certificates are outstanding under the Pooling and Servicing Agreement; provided, however, that RPA Seller shall not be prohibited from conveying, assigning, exchanging or otherwise transferring the Accounts in connection with a transaction complying with the provisions of Section 9.05.

Conveyance of Accounts. The Bank covenants and agrees that it will not, without the consent of the Purchaser, convey, assign, exchange or otherwise transfer any Account to any Person other than Purchaser prior to the termination of this Agreement.
