Conveyance by Deed. Subject to the provisions hereof, Seller shall, on or before the Closing Date, convey the Property to Buyer by a Special Warranty Deed (the “Deed”) in substantially the form of Exhibit A attached hereto and incorporated herein, subject to those matters permitted therein. If necessary, the form of Deed may be modified so as to be recordable in the state where the Property is located.

Conveyance by Deed. Subject to satisfaction of the Conditions Precedent to Closing set forth above and upon Developer’s payment to County of the Purchase Price at the Closing, County will convey the Property to Developer by a statutory special warranty deed, substantially in the form of Exhibit F (“Deed”).
