Continuing to Perform. 22.1 Except in the event of termination of this Agreement pursuant to its terms, during a dispute or notice or cure period, Cloudpermit will continue to fulfill all its obligations under this Agreement, and Customer will continue to make payments required by the Agreement.

Continuing to Perform. During the pendency of any dispute in connection with the Agreement, or any notice or cure period in connection with any alleged breach or termination of the Agreement, Seller will, unless directed otherwise by Purchaser in writing, diligently continue to fulfill all its obligations under the Agreement, including all Deliverable delivery obligations. Continuing to Perform. During a dispute or notice or cure period in connection with this Agreement: (a) Supplier will continue to fulfill all its obligations under this Agreement, including all Product and Service delivery obligations, unless directed otherwise by Amazon in writing; and, (b) Purchaser will continue to pay correct and undisputed invoices for amounts payable by it under this Agreement.   • Continue to Perform No resignation or removal of the Administrator will be effective, and the Administrator will continue to perform its obligations under this Agreement, until a successor Administrator has accepted its engagement according to Section 3.5(b).

  • Failure to Perform In the event of a failure of performance due under this Agreement and if it becomes necessary for either party to undertake legal action against the other on account thereof, then the prevailing party shall be entitled to reasonable attorney’s fees in addition to costs and necessary disbursements.

  • Failure to Perform Obligations In the event Business Associate fails to perform its obligations under this Agreement, Covered Entity may immediately discontinue providing PHI to Business Associate. Covered Entity may also, at its option, require Business Associate to submit to a plan of compliance, including monitoring by Covered Entity and reporting by Business Associate, as Covered Entity in its sole discretion determines to be necessary to maintain compliance with this Agreement and applicable law.

  • AUTHORITY TO PERFORM AGREEMENTS The Company undertakes to obtain all consents, approvals, authorizations or orders of any court or governmental agency or body which are required for the performance of this Agreement and under the Organizational Documents or the consummation of the transactions contemplated hereby and thereby, respectively, or the conducting by the Company of the business described in the Prospectus.
