Common use of Continuing indemnities Clause in Contracts

Continuing indemnities. The liabilities and obligations of the Obligors under the indemnities set out in Clause 5.1 shall remain in force as a continuing security until: (a) the full, prompt and complete performance of all the terms of such indemnities including the proper and valid payment of all amounts that may become due to the Issuer under this Clause 5.3; and (b) subject to Clause 5.4, an absolute discharge or release of the Obligors signed by the Issuer; and accordingly the Obligors shall not have, as regards those indemnities, any of the rights or defences of a surety.

The liabilities and obligations of the Obligors Borrower under the indemnities set out in Clause 5.1 10.1 shall remain in force as a continuing security until: (a) the full, prompt and complete performance of all the terms of such indemnities including the proper and valid payment of all amounts that may become due to the Issuer Lender under this Clause 5.310.3; and (b) subject to Clause 5.410.4, an absolute discharge or release of the Obligors Borrower signed by the IssuerLender; and accordingly the Obligors Borrower shall not have, as regards those indemnities, any of the rights or defences of a surety.
