Continued Assistance. You agree that after the Termination Date you will provide all reasonable cooperation to the Company, including but not limited to, assisting the Company transition your job duties, assisting the Company in defending against and/or prosecuting any litigation or threatened litigation, and performing any other tasks as reasonably requested by the Company.

Continued Assistance. You will continue to cooperate with and assist XxxxXxxxx and its representatives and attorneys as requested with respect to any investigations, litigation, arbitration or other dispute resolutions by being available for interviews, depositions and/or testimony in regard to any matters in which you are or have been involved or with respect to which you have relevant information. XxxxXxxxx will reimburse you for reasonable expenses you may incur for travel in connection with this obligation to assist XxxxXxxxx. In addition, XxxxXxxxx will compensate you at a reasonable hourly rate for all time spent providing such assistance.

If the Employee refuses to provide such information and assistance at reasonable times and after reasonable notice, then the severance benefits described under Section 6.4.1 and 6.4.2 shall immediately cease.

Continued Assistance. (a) Following the Closing, Seller shall refer to Buyer as promptly as practicable any telephone calls, letters, orders, notices, requests, inquiries and other communications relating to the Business. Buyer shall reimburse Seller and the Stockholders for any reasonable out-of-pocket expenses incurred by either or both of them in connection with the obligations under this Section 7.2(a).
