Continued Assistance. You agree that after the Termination Date you will provide all reasonable cooperation to the Company, including but not limited to, assisting the Company transition your job duties, assisting the Company in defending against and/or prosecuting any litigation or threatened litigation, and performing any other tasks as reasonably requested by the Company.
Continued Assistance. You will continue to cooperate with and assist XxxxXxxxx and its representatives and attorneys as requested with respect to any investigations, litigation, arbitration or other dispute resolutions by being available for interviews, depositions and/or testimony in regard to any matters in which you are or have been involved or with respect to which you have relevant information. XxxxXxxxx will reimburse you for reasonable expenses you may incur for travel in connection with this obligation to assist XxxxXxxxx. In addition, XxxxXxxxx will compensate you at a reasonable hourly rate for all time spent providing such assistance.
Continued Assistance. Promptly, from time to time as the Bank may reasonably request, Borrower and each Guarantor shall perform such acts and execute, acknowledge, deliver, file, register, deposit or record any and all further instruments, agreements and documents whether to continue, preserve, renew, record or perfect the Bank's interests in the Collateral, as well as the priority thereof.
Continued Assistance. You acknowledge and reaffirm your obligations to the Company with respect to cooperation, as stated more fully in Section 6 of the Employment Agreement. You agree that after the Termination Date you will provide all reasonable cooperation to the Company, including but not limited to, assisting the Company transition your job duties, assisting the Company in defending against and/or prosecuting any litigation or threatened litigation, and performing any other tasks as reasonably requested by the Company.
Continued Assistance. During the Severance Period, the Employee agrees to respond to reasonable requests for information and provide reasonable levels of assistance on issue related to Employee’s work with the Company without further compensation. The Employee’s obligation for reasonable assistance shall not exceed twenty hours during the first week following termination, ten hours per week during the next four weeks and five hours per month thereafter. If the Employee refuses to provide such information and assistance at reasonable times and after reasonable notice, then the severance benefits described under Section 6.4.1 and 6.4.2 shall immediately cease.
Continued Assistance. The Executive agrees that after the Separation Date he will provide reasonable cooperation to the Bank in transitioning his job duties as reasonably requested by the Bank and performing any other tasks as reasonably requested by the Bank.
Continued Assistance. The Executive agrees that during the time period he is receiving the Severance Benefits stated in this Agreement, he will provide all reasonable cooperation to the Company, including but not limited to, assisting the Company in transitioning his job duties, assisting the Company in defending against and/or prosecuting any litigation or threatened litigation, and performing any other tasks as reasonably requested by the Company. The Company agrees to reimburse the Executive for reasonable business expenses incurred in such cooperation and to be reasonable in its requests for assistance.
Continued Assistance. Promptly, from time to time as Lender may reasonably request, Borrower shall execute, acknowledge, deliver, file, register, deposit, or record any and all further instruments, agreements, and documents, whether to continue, preserve, renew, record or perfect Lender’s interest in the Collateral, as well as the priority thereof.
Continued Assistance. The Executive must assist the Corporation at such reasonable times as the Corporation may request, subject to reasonable availability, with respect to any continuing matters respecting the business of the Corporation, and she must assist the Corporation in maintaining relationships with those persons and firms with whom the Corporation has been doing business, including clients, vendors and others useful to the Corporation. If the Executive’s employment with the Corporation has been terminated, the Executive will be reimbursed for all expenses incurred on behalf of the Corporation and will receive compensation on an hourly basis at a rate no less than $75.00 per hour.
Continued Assistance. (a) Following the Closing, Seller shall refer to Buyer as promptly as practicable any telephone calls, letters, orders, notices, requests, inquiries and other communications relating to the Business. Seller shall cooperate in an orderly transfer of the Business and the continuation thereof by Buyer. From time to time, at Buyer's request and without further consideration, Seller and the Stockholders shall execute, acknowledge and deliver such documents, instruments or assurances and take such other action as Buyer may reasonably request to more effectively assign, convey and transfer any of the assets, properties, rights or claims of the Business and will assist Buyer in the vesting, collection or reduction to possession of such assets, properties, rights and claims. Buyer shall reimburse Seller and the Stockholders for any reasonable out-of-pocket expenses incurred by either or both of them in connection with the obligations under this Section 7.2(a).
