CONTINUATION OF PERFORMANCE THROUGH TERMINATION. The Subrecipient shall continue to perform, in accordance with the requirements of the Agreement, up to the date of termination, as directed in the termination notice.

CONTINUATION OF PERFORMANCE THROUGH TERMINATION. Each party shall continue to perform, in accordance with the requirements of this Agreement, up to the date of termination, as directed by the City. In the event of termination, all Agreement documents, data, and reports shall become the property of the City and be delivered upon request. Partner shall be entitled to receive just and equitable compensation for work in progress, work completed, and materials accepted up to the effective date of the termination. Notwithstanding such provision, Partner shall not be relieved of liability to the City for such damages sustained by the City due to any breach of this Agreement by Partner and the City may withhold any payments to Partner for the purpose of off-set until such time as the exact amount of damages due from Partner is determined. Whenever determined appropriate by the City, Partner shall assist the City in the transition of Services to other Partners or to the City.
