Continuation and Investigation. The warranties and representations contained herein shall be and remain true and correct so long as any of Borrower’s obligations hereunder have not been satisfied, or so long as part of the Loan shall remain outstanding, and each request by Borrower for a disbursement or extension of the Loan shall constitute an affirmation that the foregoing representations and warranties remain true and correct as of the date thereof. All representations, warranties, covenants and agreements made herein or in any certificate or other document delivered to Lender by or on behalf of Borrower pursuant to or in connection with this Agreement shall be deemed to have been relied upon by Lender notwithstanding any investigation heretofore or hereafter made by Lender or on its behalf, and shall survive the making of any or all of the Loan disbursements contemplated hereby.
Continuation and Investigation. The warranties and representations of Borrower contained in this Agreement are and shall remain correct and complete until the Loan is paid in full, and any request by Borrower for a disbursement under the Loan shall constitute an affirmation that the representations and warranties set forth in this Agreement remain correct and complete as of the date of that request. All representations and warranties made to Lender by or on behalf of Borrower in connection with this Agreement may be relied upon by Lender notwithstanding any independent investigation made by or on behalf of Lender.

Each request by Borrower for an Advance of the Loan shall constitute an affirmation that all representations and warranties contained herein remain true and correct as of the date thereof. For purposes of this Section 5, to the extent applicable, Borrower shall be presumed to have engaged in good faith diligent inquiry if it has acted strictly in accordance with the Qualified Borrower Underwriting Guidelines, the Qualified Loan Underwriting Guidelines, and/or the Qualified Resort Underwriting Guidelines, as appropriate.

All representations, warranties, covenants and agreements made herein or in any certificate or other document delivered to TFC or the other Secured Parties by or on behalf of SPV, pursuant to or in connection with the Loan Documents, shall be deemed to have been relied upon by TFC or such Secured Parties, notwithstanding any investigation heretofore or hereafter conducted by or on behalf of TFC or such Secured Parties.

All representations, warranties, covenants and agreements made herein or in any certificate or other document delivered to Lender by or on behalf of Borrower pursuant to or in connection with this Agreement or any Sub-Loan Agreement or other Sub-Loan Documents shall be deemed to have been relied upon by Lender notwithstanding any investigation heretofore or hereafter made by Lender or on its behalf, and shall survive the making of any or all of the disbursements contemplated hereby.

The representations and warranties contained herein shall be and remain true and correct in all material respects so long as any of the Company's obligations or Parallel Claims hereunder or under the Loan Documents have not been fully satisfied, and each request by the Company for a sale or contribution to occur on a Conveyance Date shall constitute an affirmation that all of the foregoing representations and warranties remain true and correct in all material respects as of the date thereof. All representations, warranties, covenants and agreements made herein or in any certificate or other document delivered to SPV or TFC, or other Secured Parties by or on behalf of the Company, pursuant to or in connection with the Loan Documents, shall be deemed to have been relied upon by SPV or TFC, as applicable, notwithstanding any investigation heretofore or hereafter conducted by or on behalf of SPV or TFC, and shall survive the making of any or all payments contemplated hereby.
