Content Protection Requirements. With respect to the distribution of each Early Window Title pursuant to the terms of this Amendment #2, Licensee shall, at Licensee’s cost, unless otherwise specified herein, comply at all times with the Content Protection Requirements and Obligations set forth in Attachment A of the Agreement, as amended by this Amendment #2.

Content Protection Requirements shall comply with all content protection requirements described in this Agreement for any SD Version created by Licensee;
Content Protection Requirements. The New Schedule B to the Original Agreement is deleted and replaced in its entirety with the Schedule B attached to this Amendment #10 (“Schedule B”); and shall apply to all exploitation of Included Pictures under the Original Agreement, as amended hereby, whether such exploitation takes place during an Early Window VOD Term or otherwise. In the event of a conflict between the terms of Schedule B, as attached hereto, and any other terms relating to content protection or security requirements and obligations set forth in the Original Agreement, as amended hereby, the terms of Schedule B shall control. Licensee Marketing Commitments. Licensee will in good faith make reasonable efforts to promote the availability of Early Window Titles in the Early Window Test in Toronto. Licensee shall match, in the form of marketing spend for the Early Window Test, the amount that Licensor spends on marketing the Early Window Test in Toronto during the Early Window Test Term. Licensee shall brand the Early Window Test as “Home Premiere” or such other brand as Licensor shall specify. Without limiting the generality of the foregoing, Licensee shall promote the availability of Early Window Titles on the Licensed Service as follows (the “Minimum Marketing Requirements”): promotion of each Early Window Title shall utilize marketing tactics including, but not limited to, xxxxxx channel placement, consistent and prominent IPG placement, click-through banners, e-mail blasts, bill stuffers, and a dedicated folder branded Home Premiere or such other brand as Licensor shall specify; Each Early Window Title shall include a promotional tag promoting the availability of other Sony VOD titles on Licensee’s service; Licensee may not market with respect to any Early Window Title during the two week period after Widest Theatrical Release of such Early Window Title; Licensee will treat Licensor in a non-discriminatory fashion with respect to its marketing of Early Window Titles vis-à-vis its marketing of titles that other content providers include in an early, pre-DVD release VOD offering during the Early Window Test Term based on a comparable level of title commitment; provided that Licensor shall provide Licensee with a comparable level of support and financial commitment, if any, that other content providers contribute for such marketing; Licensee shall mutually agree with Licensor upon all marketing materials related to Early Window Titles and the Early Window Test; and Each Home Premier...

  • Certification Requirements The applicant will provide Vista Laboratories, Inc. with all product information for the evaluation of the product to be certified and warrant that the information provided is accurate and complete so that Vista Labs may perform the services requested. If the product was tested at an external laboratory, the applicant must provide the complete test report to Vista Labs. If the external testing facility is not ISO 17025 accredited, or does not have the proper scope, Vista Labs must determine if the test report can be used for certification activities. The applicant’s information is used to perform a product review and evaluation to determine the product’s compliance to the specific certification requested. Throughout the process, the client agrees to make claims regarding certification consistent with the scope of certification. The applicant agrees to supply the required number of product samples, to be determined by Vista Labs, to the laboratory for testing, measurement, and evaluation purposes. The client understands that certain tests may damage or destroy the sample and acknowledge that Vista Labs is not responsible for such damages. Samples will be returned only upon request by the applicant and at the applicant’s expense, after the completion of certification. Samples will be disposed of after six months if not requested for return by applicant. The product is ineligible for certification if it has been modified by the client after testing or certification. Changes to the product must be approved by Vista Laboratories. Vista Labs reserves the right to re- evaluate the product as a result of information that raises questions concerning the conformance of the product. Certified products maintain fulfilment of product requirements if the certification applies to ongoing production. If the client provides copies of the certification documents to other parties, the documents are reproduced in their entirety, or as specified in the certification scheme. In making reference to its product certification in media, such as brochures or advertisement, the client complies with the requirements of the Vista Labs or as specified by the certification scheme. The client complies with any requirements that may be prescribed in the certification scheme relating to the use of marks of conformity, and on all product correspondences and product related information. Vista Labs reserves the right to revise or withdraw the requirements as required in order to maintain conformance with FCC rules and regulations governing the product. The product may continue with certification and receive certification upon demonstration of compliance with the revised requirements, to the satisfaction of Vista Laboratories.
