CONTACTS WITH CUSTOMERS. Except as otherwise provided in this Agreement, QuantumShift shall provide the exclusive interface with QuantumShift’s End User Customers in connection with the marketing or offering of QuantumShift services. Except as otherwise provided in this Agreement, in those instances where CenturyLink personnel are required pursuant to this Agreement to interface directly with QuantumShift’s End User Customers for the purpose of installation, repair and/or maintenance of services, such personnel shall not identify themselves as representing CenturyLink. Nothing in this section shall require CenturyLink to repaint trucks or other equipment, or to remove, hide or cover logos or other identifying marks from any vehicles, equipment, uniforms or other items used or owned by CenturyLink or CenturyLink personnel to effect service calls.

CONTACTS WITH CUSTOMERS. Prior to the Closing, the Purchaser and its ----------------------- representatives shall not contact or communicate with the employees, Merchants, customers, suppliers and licensors of the Merchant Business in connection with the transactions contemplated hereby without the prior written consent of the Seller, which consent shall not be unreasonably withheld or delayed and may be conditioned upon a designee of the Seller being present at any such meeting or conference. The Seller's communications with the employees, Merchants, customers, suppliers and licensors of the Merchant Business in connection with the transactions contemplated hereby shall be undertaken in a manner consistent with the description of the transactions contemplated hereby in the communications plan agreed to and released to the press by the Parties. Notwithstanding the foregoing, the Purchaser may contact or communicate with Transferred Employees and Transition Employees after the Agreement is signed and prior to Closing without the consent of, but on reasonable advanced notice to the Seller, for the purpose of providing such Transferred Employees and Transition Employees with offers of employment pursuant to Section 4.3(a).
