Common use of Consummate Transaction Clause in Contracts

Consummate Transaction. Purchaser shall use its best efforts to cause the transactions contemplated by this Agreement to be consummated in accordance with the terms hereof, and, without limiting the generality of the foregoing, to assist Seller in obtaining all necessary Consents of third parties, including, without limitation, the approval of this Agreement and the transactions contemplated hereby as required by any Governmental Authority, and to make all filings with and to give all notices to third parties which may be necessary or reasonably required of Purchaser in order to consummate the transactions contemplated hereby.

Consummate Transaction. Purchaser shall use its best efforts to cause the transactions contemplated by this Agreement to be consummated in accordance with the terms hereof, and, without limiting the generality of the foregoing, to assist Seller in obtaining all necessary Consents Authorizations of third parties, including, without limitation, the approval of this Agreement and the transactions contemplated hereby as required by any Governmental Authority, and to make all filings with and to give all notices to third parties which may be necessary or reasonably required of Purchaser in order to consummate the transactions contemplated hereby.

Purchaser Buyer shall use its best all commercially reasonable efforts to cause the transactions contemplated by this Agreement to be consummated in accordance with the terms hereof, and, without limiting the generality of the foregoing, to assist Seller in obtaining obtain all necessary Consents consents and Authorizations of third parties, including, without limitation, including the approval of this Agreement and the transactions contemplated hereby as required by all governmental authorities and agencies, including the FCC and any Governmental Authoritystate public utilities or public service commission, and to make all filings with and to give all notices to third parties which may be necessary or reasonably required of Purchaser Buyer in order to consummate the transactions contemplated hereby.
