Consulting Service. Exasol will provide advice and support to Customer as may be described in the Order (“Consulting Services”). Such Consulting Services may, for example, include: - Sizing & Planning Service - Requirements analysis - Consultation regarding cluster sizing, setup and integration of Exasol in your environment - Solution Engineering - Consulting during migration or integration projects - Optimization of EXASolution-based concepts and tools - Individual development, e.g. SQL-based analysis - Database scripts, e.g. ETL processes

Consulting Service. The consulting services to be rendered by Consultant during the term of this Agreement are as follows: (i) advice and assistance in connection with the transition of operations following Corporation's acquisition of the business operations of Go2 Delaware; (ii) advice and assistance with respect to the operations of Corporation's business; and (iii) general business advice regarding the healthcare industry and other matters as agreed upon between Consultant and Corporation. Consultant shall not be required to provide any minimum number of hours of services to Corporation and may perform any such services via telephone, telefax or such other method as may be agreed upon by Consultant and Corporation.
Consulting Service. Pursuant to the terms of this Agreement, Aginsky hereby agrees to continue to provide services to Tekgraf as a consultant until December 31, 1999. Aginsky shall cease reporting to work after the date hereof. Aginsky shall thereafter make himself reasonably available by telephone for consultation with the independent directors, the Chief Financial Officer or the Permanent CEO (as hereinafter defined) (collectively, the "Identified Parties") as needed and upon reasonable notice from the Board through December 31, 1999; provided, however, such consultation shall be limited to no more than five (5) hours per week. Aginsky shall have no obligation to provide consulting services in excess of the foregoing, however, should Aginsky provide such services in excess of five (5) hours, Aginsky shall be paid for such services at the rate of $250.00 per hour to the extent that Aginsky has a written purchase order signed by an Identified Party before performing the work, such payment to be included in the next regularly scheduled payment pursuant to this Agreement. The right to payments under the terms of this Agreement shall survive the incapacity, disability or death of Mr. Xxxxxxx. Xxinxxx xxxeby agrees to terminate his consulting relationship with Tekgraf on December 31, 1999. Consulting Service. (a) Subject to the provisions of Section 3(e) hereof, the parties hereto agree that, during the twelve (12)-month period immediately following the Effective Time of the Merger (the "Consulting Period"), the Consultant undertakes to provide her personal advice and counsel to Buyer and its subsidiaries and affiliates (including Bank Rhode Island) in connection with the business of Buyer and its subsidiaries, including, but not limited to, consulting with Buyer regarding the operations and customer relationships of Buyer and assisting Buyer in matters relating to the integration of Bank Rhode Island with Buyer (collectively the "Consulting Services"), subject to the terms and conditions which are set forth herein. The Consultant shall provide such Consulting Services as may be requested from time to time by the Chief Executive Officer of Buyer; provided, however, that in no event will the Consultant be required to perform Consulting Services for more than one day per week and in no event shall the monthly consulting services exceed twenty percent (20%) of the average monthly level of services provided by the Consultant as an employee of the Bank and its affiliates over the thirty-six (36) months immediately preceding the Effective Time of the Merger. During the Consulting Period, the Consultant shall be available to devote a sufficient portion of her business time, attention, skills and effort (other than during holidays, vacations and periods of illness) to the business and affairs of Buyer and its subsidiaries and affiliates to satisfy her obligations hereunder and shall use her reasonable best efforts to promote the interests of Buyer and its subsidiaries and affiliates. Such Consulting Services may be provided in person, telephonically, electronically or by correspondence as Buyer and the Consultant may agree. The Consultant shall be available for meetings at the principal executive offices of Buyer at such times as shall be reasonable and appropriate.
Consulting Service. Following the Effective Date of this Agreement, Company will, at no charge to Distributor, provide Distributor those technical consulting services reasonably necessary and practical to complete preparations for Distributor’s Ricoh billboard début in New York City. Thereafter, at the request of Distributor, Company will provide the services of up to five (5) technical consultants to assist Distributor in the marketing, sale or technical aspects of the Product in or for the Field of Use in the Territory. Distributor agrees to reimburse Company for the reasonable living and travel expenses of such consultants, as determined by Company. In addition, Distributor shall pay Company for such consulting services an hourly consulting rate of $150.00 U.S. Dollars per consultant.
