Consulting Service. The consulting services to be rendered by Consultant during the term of this Agreement are as follows: (i) advice and assistance in connection with the transition of operations following Corporation's acquisition of the business operations of Go2 Delaware; (ii) advice and assistance with respect to the operations of Corporation's business; and (iii) general business advice regarding the healthcare industry and other matters as agreed upon between Consultant and Corporation. Consultant shall not be required to provide any minimum number of hours of services to Corporation and may perform any such services via telephone, telefax or such other method as may be agreed upon by Consultant and Corporation.

Consulting Service. (a) Provided that the Employee remains in employment in accordance with this Agreement until the Retirement Date, or is terminated without Cause as defined in the Award Agreements issued along with this Agreement, and to the extent the Employee remains in compliance with this Agreement during all applicable periods thereafter, the Company and the Employee agree that: (i) immediately following the Retirement Date, the Employee shall be engaged by the Company as a consultant for a six (6)-month period beginning March 4, 2025 (the “Consulting Period”); and (ii) the Employee shall receive a consulting fee at the monthly rate of $77,250.00, payable on a monthly basis and reported on a Form 1099 to the Employee (the “Consulting Fee”). (b) During the Consulting Period, the Employee shall perform such knowledge transfer and strategic consulting services as the Company may reasonably request from time to time, it being understood that the average level of services performed by the Employee during the Consulting Period is anticipated to comprise less than twenty percent (20%) of the average level of services performed by the Employee for the benefit of the Company during the thirty-six (36)-month period preceding the Retirement Date. Further, the Employee agrees that, during the Consulting Period, the Employee (i) shall refrain from directly or indirectly contacting any employee, consultant, existing or prospective customer, existing or prospective vendor, counterparty, or other third-party in relation to the business or affairs of the Company Group, (ii) shall not have any authority to bind any member of the Company Group, and (iii) shall not attend the Company Group’s offices or access or use its facilities or systems except as may be requested by the Company. (c) If (i) the Employee engages in conduct during the Consulting Period, or if the Company discovers conduct occurring prior to the Consulting Period, that, in either case, amounts to or would have amounted to a material breach of this Agreement, (ii) the Employee fails to deliver the Confirming Release (as defined herein) within the time period specified therein, or (iii) the Employee revokes the Confirming Release within the time period specified therein, then the Company will be entitled to terminate the Consulting Period without further obligation to the Employee other than payment of the applicable monthly Consulting Fee on a pro-rated basis through the date of termination. Consulting Service. (a) For purposes hereof, “Consulting Service” means the provision of services to the Company or a Subsidiary pursuant to a written consulting agreement. A cessation of Consulting Service shall be deemed to have occurred upon the expiration of such consulting agreement, unless such services are extended pursuant to the terms of such agreement or under a new agreement. Notwithstanding any contrary provision or implication herein, in determining cessation of Consulting Service for purposes hereof, a transfer of services between the Company and/or any Subsidiary shall be disregarded and shall not be considered a cessation of Consulting Service, and changes in status between that of a consultant to an Employee or a Non-Employee Director shall be disregarded and shall not be considered a cessation of Consulting Service.

Consulting Service. Within the scope of consulting services, Exasol provides advice and support to Customer according to the subject and extent described in the Order (“Consulting Service”). Such services may, for example, include:

Consulting Service. ADVANTAGE provides consulting services for vendor evaluations, strategic planning services, and complex project planning and technology build outs. Such services are billed at the DISCOUNTED SERVICE RATE.

The Company also shall, to the extent consistent with the Company's best interests, schedule Former Executive's services so as not to interfere with Former Executive's other commitments. Requests by the Company for Former Executive's Services shall not exceed, without Former Executive's consent, which shall not be unreasonably withheld, two (2) days per week or nine (9) days per month. Former Executive shall be compensated for all services to be provided as specifically set forth herein.

Consulting Service.  Review recent, relevant documents from Parks & Recreation, Open Space, Housing and Flagstaff Watershed Protection Project, potential ballot measures from other agencies, and election history.  Collaborate with City staff to develop key components of the informational messages regarding any proposed projects and purposes of any potential bond measures for Parks & Recreation, Open Space, Housing and Flagstaff Watershed Protection Project (FWPP).  Coordinate with City staff, Council members and others, as requested, to identify methods and techniques to effectively communicate the results and conclusions of the Parks & Recreation and Open Space Priorities Committee, Housing Commission and FWPP stakeholders.  Assist City staff in designing ballot measures to include optimal ballot language and best practices for ballot measures.  Support City staff on presentations to Council members, as requested.
