Consulting Role. As of the Effective Date, Xx. Xxxx will serve as a consultant to MKG, Xxxxx XxxXxx as the new Chairman of the Board of the Company, and Xxxxx XxxXxx’x nominee as the new Chief Executive Officer and President of the Company (collectively “New Management”). Xx. Xxxx will remain in this capacity for a period of three (3) years commencing as of the Effective Date (the “Term”). Throughout his service as a consultant, Xx. Xxxx shall provide his best efforts to New Management and the Company and will provide support to New Management and the Company.

Consulting Role. Commensurate with entering into this Agreement on or after your Separation Date, the Company will allow you to enter into a post-employment consulting role, wherein you will provide advisory services from the Separation Date through May 12, 2023, and the Company shall have the option to extend the consulting period for up to an additional two weeks beyond such date (such consulting period, as may be extended, the “Consulting Period”). Notwithstanding the foregoing, in the event the Company determines, in its good faith discretion, that you are in breach of either this Agreement or the Confidentiality Agreement or Consulting Agreement (each as defined below), then it may immediately terminate the Consulting Period. Such consulting role shall be pursuant to the terms of a Consulting Agreement in the form attached to this Agreement as Schedule 1 (the “Consulting Agreement”). During the Consulting Period, you agree to provide the Company with such services as the Company may reasonably request from time to time, including the facilitation of a smooth transition of your former work duties and business contacts to the Company (the “Services”). As remuneration in full for your provision of the Services during the Consulting Period, the Company shall pay you at a rate of $256.00 per hour for Services performed, with the understanding that such Services will only be performed on a part-time basis and as requested by the Company from time to time, and you will not be eligible for employment-related benefits or wages during such Consulting Period. You acknowledge that the Consulting Period shall not result in continued vesting of any Equity Awards, all of which shall be subject to Section 2(c) above. You acknowledge that the Services shall not constitute continued employment, and that, unless and to the extent otherwise expressly set forth herein, any entitlement to further wages or benefits shall cease as of the Separation Date.
Consulting Role. Services substantially similar to, related to, in furtherance of and/or in connection with Consultant’s prior roles as General Counsel, Corporate Secretary and Chief Compliance Officer as may be reasonably required by the person(s) identified in Section 1(b) of the Consulting Agreement.

If the Company notifies the Executive that it intends to exercise its right pursuant to this section to retain Executive as a consultant, Executive shall be entitled to the Accrued Rights as if he had resigned pursuant to Section 5(b), provided that (a) compliance with the notice requirements is not required and (b) the Deferred Salary shall continue to be payable to Executive pursuant to the Consulting Agreement. If for any reason the Company does not elect to retain Executive as a consultant pursuant to the Consulting Agreement, Executive shall be entitled to the Accrued Rights and the Severance Benefits as if he had resigned with Good Reason pursuant to Section 5(d); provided, that the time period for the Company to cure will be inapplicable.
Consulting Role. Effective no earlier than six (6) months prior to the Term End Date, Employee and Company may mutually agree that Employee’s employment shall terminate and Employee shall transition into a consultant role until the Term End Date upon mutually agreeable terms (the “Consulting Role” and the period during which Employee is performing services in the Consulting Role, the “Consulting Period”). During the Consulting Period, Employee shall not be treated as an employee of any member of the Group for any purpose, including, without limitation, for the purposes of any employee or fringe benefits provided by any member of the Group to its employees including, without limitation, employee insurance, retirement, savings, medical, health care, fringe benefit, equity compensation, deferred compensation or bonus plans, or for withholding tax purposes unless required by applicable law.
Consulting Role. From the Date of Separation through December 31, 2022, unless terminated earlier in accordance with the terms of this Agreement (such period, the “Consulting Period”), the Company wishes to retain Executive, and Executive hereby agrees, to provide consulting services to the Company. Executive may not engage any person in connection with the performance of the Consulting Services other than Executive.

Consulting Role. If you should become a Consultant under the circumstances described in Section 7(b) of this letter agreement, your duties as a Consultant during the Xxxxxx X. Xxxxxxxxx as of April 23, 2019 Consulting Period shall be primarily to provide transition services to the permanent Chief Executive Officer of CBS (or chief executive officer of the acquiror if CBS is not the survivor or acquiror in a Corporate Event) in order to assist in a smooth transition and transfer of knowledge concerning the affairs and priorities of CBS to your successor or, if applicable, the chief executive officer of such acquiror. While you are employed as a Consultant, you shall remain an employee and, for the avoidance of doubt, it is the intent of the parties, and the parties hereby acknowledge, that during the Consulting Period, the level of bona fide services reasonably anticipated to be performed by you will remain at a level such that you will not be considered to have incurred a “separation from service” (within the meaning of Code Section 409A) upon commencement of the Consulting Period. CBS acknowledges and agrees that it may not terminate your employment as a Consultant for any reason other than for Cause.
