CONSTRUCTION OF PLAN. The Compensation Committee shall have the power to construe this Plan and to determine all questions of fact or law arising under it. It may correct any defect, supply any omission or reconcile any inconsistency in this Plan in such manner and to such extent as it may deem expedient. Except as otherwise permitted by ERISA, all acts and determinations of the Compensation Committee shall be final and conclusive on the Participants and on the surviving spouses of any deceased Participants and shall not be subject to appeal or review except in those instances where the Compensation Committee, in its sole discretion, refers such matter to the Board.
