Constitution and Voting. The Collaboration shall be managed by a ------------------------ committee known as the "Joint Management Team" or "JMT". ▇-▇ and RPI shall each have one vote on the JMT, and shall each have the right to appoint four (4) representatives to the JMT. Two of the representatives appointed by ▇-▇ shall be from its Collaborator, [ ]. Two votes must be cast in favor of a proposal in order for the proposal to be adopted. In the event of a deadlocked vote on a proposal, the Chief Executive Officer of RPI and ▇▇. ▇▇▇▇▇▇ ▇. Cresswell, Vice President and Chairman, Pharmaceutical Research Division of ▇-▇ shall discuss such proposal in good faith and shall use good faith efforts to find a resolution to the deadlock.
