Consents Under Agreements. The Company shall have obtained the consent or approval of each Person whose consent or approval shall be required under the Contracts listed in Section 7.2(c) of the Parent Disclosure Letter and all other consents or approvals from each Person whose consent or approval is required under any Contract except for such consents or approvals the failure to obtain would not, individually or in the aggregate, be reasonably likely to have a Company Material Adverse Effect or be reasonably likely to prevent the Company from consummating the transactions contemplated by this Agreement.
Consents Under Agreements. Parent shall have obtained the consent or approval of each Person whose consent or approval shall be required in order to consummate the transactions contemplated by this Agreement under any Contract to which Parent or any of its Subsidiaries is a party, except those for which failure to obtain such consents and approvals, individually or in the aggregate, is not reasonably likely to have a Parent Material Adverse Effect or is not reasonably likely to prevent or to materially burden or materially impair the ability of Parent to consummate the transactions contemplated by this Agreement.
Consents Under Agreements. The consent, approval, waiver or amendment (with financial covenants) of each person (other than the Governmental Entities referred to in Section 7.01(b)) whose consent or approval shall be required in order to permit the succession by the Surviving Corporation pursuant to the Merger to any obligation, right or interest of the Company under any material loan or credit agreement, note, mortgage, indenture, lease, license or other agreement or instrument shall have been obtained and shall be reasonably satisfactory to Parent.
Consents Under Agreements. The original of each consent or approval, if any, pursuant to Section 6.2(d).

Consents Under Agreements. The consent or approval or waiver of each person (other than the Governmental Entities referred to in Section 7.1(b)) whose consent or approval shall be required in connection with the transactions contemplated hereby under any loan or credit agreement, note, mortgage, indenture, lease, license or other agreement or instrument to which Parent is a party or is otherwise bound shall have been obtained, except where failure to obtain such consent, approval or waiver would not likely have a Material Adverse Effect on Parent.
Consents Under Agreements. Buyer shall have been furnished with evidence reasonably satisfactory to it of the consent or approval of each person that is a party to a Contract specifically identified in Schedule 8.2(c) whose consent or approval shall be required as a condition to Buyer's obligation to effect the transactions contemplated hereby and such consent or approval shall be in form and substance satisfactory to Buyer.

The Company shall have obtained the consent or approval of, except for those consents or approvals for which failure to obtain such consents or approvals could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect on the Company, each Person (other than the Requisite Regulatory Approvals) whose consent or approval shall be required in order to permit the succession by the Surviving Corporation pursuant to the Merger to any obligation, right or interest of the Company or any Subsidiary of the Company under any loan or credit agreement, note, mortgage, indenture, lease, license or other agreement or instrument.
Consents Under Agreements. The consent, approval, waiver or amendment of each person (other than the Governmental Entities) set forth on Schedule 9.02(d) hereto shall have been obtained and shall be reasonably satisfactory to Parent.
Consents Under Agreements. The consent, approval or waiver of each Person whose consent or approval shall be required in order to permit the consummation of the Merger and the transactions contemplated by this Agreement, including the consents and approvals identified in Section 4.4 hereof, shall have been obtained, except where the failure to obtain such consent or approval would not result in a Material Adverse Effect on ACE*COMM.
