Consents Compliance With Laws. 16.1. You confirm and promise that you have obtained and will maintain all necessary consents, licences, permits, registrations (including food business registration), approvals or authorisations (“Consents”) of any relevant person or government authority in relation to your business.

Use its best efforts to obtain and maintain all consents, assignments or approvals of third parties, governmental and other, in form and substance reasonably satisfactory to Buyer, the absence or loss of which would have a Material Adverse Effect on the Company or the Business; and not take any action which would result in a violation of or the noncompliance with any Material Contract or any laws or regulations applicable to or any permits or licenses or contractual rights held by the Company where such violation or non-compliance would or is reasonably likely to have a Material Adverse Effect on the Company or the Business, or result in the incurrence of any material liability by the Company or in the revocation, modification or loss of any license, permit or contractual right needed for the operation of the Business as presently conducted by the Company, or which would adversely affect the obtaining of third-party consents or approvals for or otherwise adversely affect the ability of the parties to consummate the transactions contemplated by this Agreement; and cooperate with Buyer and render to Buyer such assistance as Buyer may reasonably request in obtaining such consents and approvals;

(a) Use its best reasonable efforts to obtain and maintain all consents, assignments or approvals of, and licenses, permits and franchises and rights to operate granted by, governmental authorities, the absence or loss of which is expected to have a Material Adverse Effect on the Company;

Fresh Foods has obtained all necessary consents, approvals, authorizations or estoppels of any other Person or governmental or regulatory authority required to be obtained to execute and perform under this Agreement and to authorize and permit Fresh Foods to purchase the Business and the Transferred Assets. All of the equity interest in Fresh Foods is owned by WSMP. The execution, delivery and performance of this Agreement, and the consummation of the transactions contemplated hereby, by Fresh Foods, have been duly and validly authorized by all necessary action on the part of Fresh Foods and upon the Closing will not, without the giving of notice or the lapse of time, or both, (i) violate or conflict with any of the provisions of the Charter Documents of Fresh Foods; (ii) violate, conflict with or result in a breach or default under or cause termination of any term or condition of any mortgage, indenture, contract, license, Permit, instrument, trust document or other agreement, document or instrument to which Fresh Foods is a party or by which it or any of its properties may be bound; or (iii) violate any Rule.

Use its reasonable best efforts to obtain and maintain all consents, assignments or approvals of, and licenses, permits and franchises and rights to operate granted by, governmental authorities and agencies and other third parties, in form and substance reasonably satisfactory to Buyer, the absence or loss of which would have a Material Adverse Effect on the Business or the Company either prior to or following the Closing; and not take any action which would result in a violation of or the noncompliance with any laws, regulations, consents or approvals applicable to the Company or any conditions imposed on the Company under any of its permits, franchises, contracts or licenses, where such violation or non-compliance could have a material adverse effect on the Business or operations of the Seller, or result in the incurrence of any material liability by the Company or in the revocation, modification or loss of any license, permit or right needed for the operation of the Company's Business as presently conducted by the Company, or which would adversely affect the obtaining of government approvals needed for Buyer's acquisition of the Shares; and cooperate with Buyer and render to Buyer such assistance as Buyer may reasonably request in obtaining such governmental approvals;
Consents Compliance With Laws a. You may not use the Services to send any unsolicited messages (commonly known as spam). By using the Services, you certify that each phone number owner has explicitly given you permission, either previously or through our Services, to be contacted for marketing and/or communication purposes. If you will be using the Services for advertising or marketing purposes, you further certify that you have obtained “prior express written consent” under TCPA rules, 47 C.F.R. 64.1200(f)(8), from each of the people you are contacting to do so and have otherwise satisfied your obligations under the TCPA. Violation of this Section will be cause for immediate termination of your account. All mobile messages must conform to the latest available best-practice guidelines published by the Mobile Marketing Association, which you must review before using the Services. You further agree to periodically, in compliance with all regulations, remind end users how to opt out of receiving text messages by replying "STOP".

The Company will use its reasonable best efforts to obtain and maintain all consents, assignments or approvals of, and licenses, permits and franchises and rights to operate granted by, governmental authorities and agencies and other third parties, in form and substance reasonably satisfactory to Techniclone, the absence or loss of which would have a material adverse effect on the operations, operating results, financial condition or future prospects of the Company either prior to or following the Closing.
Consents Compliance With Laws. Except as provided in the Transaction Agreements, no authorization, consent, approval or other order of, or declaration to or filing with, any governmental agency, authority or body or other entity, organization or individual (each a “Person”) is required for the valid authorization, execution, delivery and performance by the Seller of the Transaction Agreements and the consummation by the Seller of the transactions contemplated hereby or thereby. Assuming the accuracy of the representations and warranties of the Purchaser set forth in Section 3, the Seller hereby represents and warrants that the sale and purchase of the Purchased Securities pursuant to this Agreement is being made in compliance with all laws and regulations (including applicable securities laws) applicable to the Seller.

The Selling Parties shall use their best efforts to obtain as soon as practicable and maintain all consents, releases, assignments or approvals of third parties, governmental and other persons or entities, in form and substance reasonably satisfactory to Buyer, the absence or loss of which would cause the Selling Parties to be in non-compliance with Section 8.3 or otherwise have a Material Adverse Effect on the Purchased Assets or otherwise impair Selling Parties' ability to deliver all right, title and interest in the Purchased Assets as required under Section 1.1 above; and not take any action which would result in a violation of or the noncompliance with any Material Contract or any laws or regulations applicable to or any permits or licenses or contractual rights held by either Selling Party where such violation or non-compliance would or is reasonably likely to have a Material Adverse Effect on the Purchased Assets, or which would adversely affect the obtaining of third-party consents or approvals for or otherwise adversely affect the ability of the parties to consummate the transactions contemplated by this Agreement; and cooperate with Buyer and render to Buyer such assistance as Buyer may reasonably request in obtaining such consents and approvals;
