CONSENTS AND LICENSES. All governmental consents, licences and other approvals and authorisations required in connection with the entry into, performance, validity and enforceability of, and the transactions contemplated by, the Transaction Documents have been obtained or effected (as appropriate) and are in full force and effect.

CONSENTS AND LICENSES. Buyer shall have obtained all governmental approvals, permits and licenses, and the parties shall have obtained all other consents and approvals as are necessary in the opinion of Seller's counsel to consummate the transactions contemplated herein and to enable Buyer to operate the Business as it now is operated.
