Common use of Consents and Authorizations Clause in Contracts

Consents and Authorizations. No consent or authorization of, filing with, or other act by or in respect of, any arbitrator or Governmental Authority and no consent of any other Person (including, without limitation, any stockholder or creditor of each Guarantor), is required in connection with the execution, delivery, performance, validity or enforceability of this Guaranty or any of the other Loan Documents to which such Guarantor is a party, other than the approval of the board of directors of each Guarantor (which approval has been obtained prior to the date hereof).
