Unless otherwise agreed in this Agreement or any other Transaction Documents, or unless otherwise agreed by the Investor, if any shareholder of the Target Company, other than the Investor, transfers any shares in the Target Company to any person other than the shareholders of the Target Company, the transferee of such shares shall execute a “Joinder Agreement” in such form as set out in Exhibit I hereto, indicating its approval of the arrangements contemplated under, and its agreement to be bound by, this Agreement and the other Transaction Documents.
