Consent to Assignments. For purposes of Section 10.07(b) of the Amended Credit Agreement, the Borrower hereby consents to any assignment by the 2017 Incremental First Lien Lender or any of its Affiliates of all or any portion of the 2017 Incremental First Lien Term Loan in connection with the initial syndication of the 2017 Incremental First Lien Term Loan to any assignee disclosed by Credit Suisse Securities (USA) LLC to, and approved by, the Borrower prior to the Second Amendment Effective Date.
Consent to Assignments. With regard to any transfer, assignment or pledge of any interest in this Agreement or in the Licensee pursuant to the foregoing provisions of this Section 13, SONIC shall not withhold its consent unreasonably as long as the proposed transfer, assignment or pledge otherwise complies with the other requirements set forth in this Section 13.

For purposes of Section 9.04(b) of the Credit Agreement, the Borrower hereby consents to any assignment by the Incremental Term Lender or any of its Affiliates of all or any portion of the Incremental Term Loans in connection with the primary syndication of all or a portion of the Incremental Term Loans to any assignee disclosed by CS Securities to, and agreed to by, the Borrower (in writing or by email) on or prior to the Incremental Facility Closing Date.
Consent to Assignments. Consenting Party: (a) acknowledges that Lender and Borrower have informed Consenting Party that they have entered into, or will be entering into, the Loan Documents and that Lender will make available the Loans in reliance upon the execution and delivery by Consenting Party of this Agreement; (b) consents in all respects to the pledge, grant, bargain, mortgage, transfer, conveyance, hypothecation and assignment: (i) by Borrower to Lender of all of the rights of Borrower in and to the Project Documents; and (ii) by Parent to Lender of the membership interests of Borrower; and (c) acknowledges the right, but not the obligation, of Lender, after the occurrence and during the continuation of a default thereunder, to make all demands, give all notices, take all actions and exercise all rights of Borrower with respect to the Project Documents. Lender acknowledges for the benefit of Borrower that the Loan Documents provide the terms and conditions under which Lender may take the actions and exercise the rights of Borrower under the Project Documents and hereby agrees to comply with the requirements of the Loan Documents with respect thereto. Lender further acknowledges that the inclusion of the LFG Purchase Agreement or Site Lease as Project Documents is intended solely to address the rights and obligations of Consenting Party thereunder and that Lender must address any rights or obligations of RWD thereunder separately with RWD.
Consent to Assignments. The Borrower and the Administrative Agent hereby consent to the assignment of any Amendment No. 3 Term Loan by the Amendment No. 3 Term Lenders (as of the date hereof) pursuant to Section 2.27 of the Amended Credit Agreement. In connection with such assignments, the Administrative Agent hxxxxx agrees to waive the registration and processing fee in the amount of $3,500 pursuant to Section 10.6(d) of the Amended Credit Agreement.
Consent to Assignments. Wireless Provider shall attach to each Pre-approved Assignment a copy of Wireless Provider’s notice to City of the Pre-approved Assignment and other required documents, Wireless Provider shall attach to each other assignment, a copyof City's notice to Wireless Provider of City's consent to the assignment. These Standard Terms shall continue to be enforceable according to its terms in spite of any provisions of any documents relating to an assignment.
Consent to Assignments. Upon, and subject to, receipt of the Initial Payment described in Section 1 above and the execution of the Lease Amendment described in Section 7 below: (i) CCDC, the City and the Water Board shall be automatically deemed to have consented to the assignment of the Management Agreement and the Lease by Southern Iowa to Xxxxxx (or its affiliate); and (ii) CCDC, the City and the Water Board agree to execute such additional documents as may be reasonably requested to confirm such consent.
Consent to Assignments. For purposes of Section 9.04(b) of the Amended Credit Agreement, the Borrower hereby consents to any assignment by Xxxxxx Xxxxxxx or any of its Affiliates of all or any portion of the 2021 Refinancing Term Loans in connection with the primary syndication of all or a portion of the 2021 Refinancing Term Loans to any assignee disclosed by Xxxxxx Xxxxxxx (in writing or by email) to, and agreed to by, a Responsible Officer of the Borrower (in writing or by email) on or prior to the 2021 Refinancing Effective Date.
