Consent Letters. The Offeror shall provide original consent letters from each team member and/or joint venture partner. This letter allows the release of team member adverse present/past performance information to the Offeror so the Offeror can respond to such information. For each identified effort for a non-federal Government customer, the Offeror shall also submit a client authorization letter (see below), authorizing release to the Government of requested information on the Offeror's performance. Offerors are advised that the Government will use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.
Consent Letters. The Lender shall have received a letter, in form and substance satisfactory to the Lender, from CT Corporation System, presently located 000 Xxxxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000, indicating the consent of CT Corporation System to its appointment by the Borrower, the Sponsor, the Shareholder and the Sponsor Parent as their agent to receive service of process.
Consent Letters. Eximbank shall have received a letter, in form and substance satisfactory to Eximbank, from CT Corporation System, presently located at 0000 Xxxxxxxx, Xxx Xxxx, Xxx Xxxx 00000, indicating the consent of CT Corporation System to its appointment by the Borrower, Ormat, Ormat International, Orleyte Company, the Construction Contractor and the Construction Supplier as their agent to receive service of process as specified in Section 10.02 hereof, in the case of the Borrower; as specified in the Funding Agreement, the Keystone Agreement and the Ormat EPC Guarantee, in the case of Ormat; as specified in the Funding Agreement, the Keystone Agreement and the International EPC Guarantee in the case of Ormat International; as specified in the Funding Agreement and the Mortgage, Assignment and Pledge Agreement in the case of Orleyte Company; as specified in that Funding Agreement, the Pledge Agreement, the Construction Contract and the Keystone Agreement in the case of the Construction Contractor; and as specified in the Supply Contract and the Keystone Agreement in the case of the Construction Supplier.
Consent Letters. Provide a consent letter executed by each joint venture partner, team member, and subcontractor authorizing release of PPI to the offeror. Because the offeror is a private party, the Government will need that consent before disclosing joint venture partner, team member, and subcontractor PPI to the offeror during exchanges. Should the offeror not submit consent letters, the Government will only discuss PPI directly with the prospective joint venture partner, team member, or subcontractor. If there is a problem with the proposed joint venture partners, team member’s, and subcontractor’s past performance, the offeror can be notified of a problem but no details may be discussed without the joint venture partners, team member’s, or subcontractor’s permission. Consent Letters. Buyer shall have received, in the form of, and containing the terms set forth in, Exhibit 8.11, letters from Seller and W&M, respectively, agreeing to consent to the inclusion, in any Registration Statement, of the 1994 and 1995 Financial Statements, the 1996 Financial Statements, the Closing Financial Statements, and the opinions of W&M with respect thereto.
Consent Letters. The Investor has received consent letters, in form and substance acceptable to the Investor, from other shareholders of the Company confirming the terms of issue of the Subscription Shares to the Investor and approval of the issue of the Subscription Shares to the Investor and waiving any pre-emptive rights that the other shareholders have under the Existing Shareholders’ Agreement and the Charter.

Consent Letters. It is hereby acknowledged and agreed that the forms of "HOB and Landlord Consent Letters" contemplated under the Lease to be attached as Exhibit "M" thereto were inadvertently omitted therefrom, and it is consequently hereby agreed that the forms of the letters attached to this Amendment as Exhibit "D" and made a part hereof shall be and are hereby incorporated by reference into the Lease as Exhibit "M" thereto and made a part thereof for all purposes.
Consent Letters. Within ten (10) days following the Closing Date (or such extended period of time as agreed to by the Administrative Agent), the Administrative Agent shall have received duly executed, certified and notarized consent letters from the Company and Checkpoint Systems Japan Co., Ltd. relating to the intercompany loans provided by the Japanese Borrower to the Company and Checkpoint Systems Japan Co., Ltd., respectively.
