Consent Deadline. The Consent Deadline for a Potential Opt-In shall be sixty (60) calendar days after the First Mailing of Notice or, in the case of a Potential Opt-In for whom the first Notice was returned as undeliverable and an additional address was found, sixty (60) calendar days after the Second Mailing of Notice to that Potential Opt-In. Potential Opt-Ins will only be entitled to receive their Individual Payments if they sign and postmark a Consent and Release Form on or before the Consent Deadline.

Consent Deadline. This Agreement may be terminated, upon written notice from either Purchaser or Wyndham, with respect to those Properties for which Closing has not yet occurred, if the Closing on such Properties has not occurred within ten (10) business days following the Consent Deadline; provided, however that neither Wyndham nor Purchaser shall have the right to terminate this Agreement under this Section 9.7 if such party’s failure to fulfill any obligation under this Agreement has been the cause of, or results in, the failure of a Closing with respect to such Property or Properties to occur prior to the Consent Deadline.
Consent Deadline. (a) Buyer shall use commercially reasonable efforts to satisfy any rating agency requirements, including receipt of confirmation from the applicable rating agencies (to the extent required by Existing Lender) that the assumption of the Existing Loan by Buyer will not result in an adverse change in the rating of any securities issued in connection with the Existing Loan; (b) Buyer may be required to (and shall, if required) provide a non-consolidation opinion and satisfy commercially reasonable special purpose entity and non-consolidation requirements; (c) Buyer shall use commercially reasonable efforts to satisfy any Existing Lender requirements which are usual and customary, and shall satisfy all conditions thereto; (d) Buyer’s designee, its principals and its affiliates as Existing Lender may request and as may be approved by Buyer (the "Substitute Liable Parties") shall execute and deliver such documents as Existing Lender may reasonably request including certificates, assumption agreements and agreements similar to each existing guaranty or environmental indemnity described in the Existing Loan Documents Schedule; and (e) Buyer shall not itself require any material modifications to the Existing Loan Documents other than those modifications to the Existing Loan Documents that Buyer and its affiliates customarily receive in connection with other Xxxxxx Xxx loan assumptions.
Consent Deadline. 4.1 The Company hereby requests that the Agent circulate this letter to the Lenders promptly upon receipt and seeks the Lenders' consent to the amendments referred to in paragraph 3 (Amendment Request) above.

  • Time Deadlines Tenant shall use its best, good faith, efforts and all due diligence to cooperate with the Architect, the Engineers, and Landlord to complete all phases of the Construction Drawings and the permitting process and to receive the permits, and with Contractor for approval of the "Cost Proposal," as that term is defined in Section 4.2 of this Tenant Work Letter, as soon as possible after the execution of the Lease, and, in that regard, shall meet with Landlord on a scheduled basis to be determined by Landlord, to discuss Tenant's progress in connection with the same. The applicable dates for approval of items, plans and drawings as described in this Section 3, Section 4, below, and in this Tenant Work Letter are set forth and further elaborated upon in Schedule 1 (the "Time Deadlines"), attached hereto. Tenant agrees to comply with the Time Deadlines.

  • Removal Before Your Tax Filing Deadline An excess contribution may be corrected by withdrawing the excess amount, along with the earnings attributable to the excess, before your tax filing deadline, including extensions, for the year for which the excess contribution was made. An excess withdrawn under this method is not taxable to you, but you must include the earnings attributable to the excess in your taxable income in the year in which the contribution was made. The six percent excess contribution penalty tax will be avoided.

  • Removal After Your Tax Filing Deadline If you are correcting an excess contribution after your tax filing deadline, including extensions, remove only the amount of the excess contribution. The six percent excess contribution penalty tax will be imposed on the excess contribution for each year it remains in the IRA. An excess withdrawal under this method will only be taxable to you if the total contributions made in the year of the excess exceed the annual applicable contribution limit.

  • Renewal Deadline If, immediately prior to the third anniversary of the initial effective date of the Registration Statement (the “Renewal Deadline”), any Notes remain unsold by the Underwriters, the Company will, prior to the Renewal Deadline, (i) promptly notify the Representatives in writing and (ii) promptly file, if it is eligible to do so, a new automatic shelf registration statement relating to the Notes, in a form and substance satisfactory to the Underwriters. If, at the Renewal Deadline, the Company is not eligible to file an automatic shelf registration statement, the Company will, prior to the Renewal Deadline, (i) promptly notify the Representatives in writing, (ii) promptly file a new shelf registration statement or post-effective amendment on the proper form relating to such Notes, in a form and substance satisfactory to the Underwriters, (iii) use its best efforts to cause such registration statement or post-effective amendment to be declared effective within 60 days after the Renewal Deadline and (iv) promptly notify the Representatives in writing of such effectiveness. The Company will take all other action necessary or appropriate to permit the offering and sale of the Notes to continue as contemplated in the expired Registration Statement. References herein to the “Registration Statement” shall include such new automatic shelf registration statement or such new shelf registration statement or post-effective amendment, as the case may be.

  • Consent Required The affirmative vote, approval, consent or ratification of the Manager shall be required to:

The Company will take all other action necessary or appropriate to permit the public offering and sale of the Notes to continue as contemplated in the expired registration statement relating to the Notes. References herein to the Registration Statement shall include such new automatic shelf registration statement or such new shelf registration statement, as the case may be.

  • Required Consent In addition, without limiting the generality of Section 4.1(a), except as permitted by the terms of this Agreement, and except as provided in Article IV of the Company Disclosure Letter or as required by applicable Legal Requirements or the regulations or requirements of Nasdaq, during the period from the date hereof and continuing until the earlier of the termination of this Agreement pursuant to its terms or the Effective Time, the Company shall not do any of the following, and shall not permit any of its Subsidiaries to do any of the following, without the prior written consent of Parent:
