CONFORMITY WITH CONTRACT REQUIREMENTS. All work performed and all materials furnished shall be in conformity with the contract requirements. In the event the State determines that the service performed or materials furnished by the Contractor are defective, not in conformity with the contract requirements, or has resulted in an inferior or unsatisfactory level of service, the State shall order the Contractor, in writing, to correct the nonconforming condition within seven (7) days of receipt of letter. Upon failure of the Contractor to comply, the State shall have the authority to correct the condition by other means, including the use of State employees or by separate contract. The costs of the action taken by the State to remedy the nonconforming situation/condition as determined by the State shall be considered a validated report of poor performance and/or non-compliance and may be considered for monetary damages as stated in the Assessment of Damages clause (also see “Performance Monitoring” section). Not withstanding the above notice provisions, if the State determines that a condition exists which may adversely affect the health or safety of a person or property, the State shall order the Contractor to correct the condition immediately. Upon the refusal of the Contractor to comply with the order or a determination by the State that the Contractor is unable to correct the condition, the State shall have the authority to correct the condition by other means without further notice to the Contractor. If the State has cause to correct a condition that, in the State’s opinion, should have been done by the Contractor, the State shall consider it a validated report of poor performance and/or noncompliance and may be considered for monetary damages as stated in the Assessment of Damages clause (also see “Performance Monitoring” section).

  • CONTRACT REQUIREMENTS a. NSF will exercise its responsibility for oversight and monitoring of procurements, contracts or other contractual arrangements for the purchase of materials and supplies, equipment or general support services under the award. The procedures set forth below must be followed to ensure that performance, materials and services are obtained in an effective manner and in compliance with the provisions of applicable Federal statutes and executive orders. The awardee must obtain written approval from the cognizant NSF Grants and Agreements Officer prior to entering into a contract if the amount exceeds $250,000 or other amount specifically identified in the agreement. Contracts clearly identified in the NSF award budget are considered approved at the time of award unless approval is withheld by the Grants and Agreements Officer. Contracts must be clearly identified in the NSF award budget on Line G6. Other. The threshold noted above also applies to cumulative increases in the value of the contractual arrangement after initial NSF approval. The awardee must not artificially segregate its procurements to lesser dollar amounts for the purpose of circumventing this requirement. A request to enter into a contract must include, at a minimum:

  • Conformity with TIA Each amendment of this Indenture executed under this Article IX will conform to the requirements of the TIA as then in effect so long as this Indenture is qualified under the TIA.

  • Subcontract Requirements As required by Section 6.22(e)(5) of the Administrative Code, Contractor shall insert in every subcontract or other arrangement, which it may make for the performance of Covered Services under this Agreement, a provision that said subcontractor shall pay to all persons performing labor in connection with Covered Services under said subcontract or other arrangement not less than the highest general prevailing rate of wages as fixed and determined by the Board of Supervisors for such labor or services.

  • Conformity with EXXXX Filing The Prospectus delivered to the Agent for use in connection with the sale of the Placement Shares pursuant to this Agreement will be identical to the versions of the Prospectus created to be transmitted to the Commission for filing via EXXXX, except to the extent permitted by Regulation S-T.

  • Conformity with Plan This Agreement is intended to conform in all respects with, and is subject to all applicable provisions of, the Plan. Inconsistencies between this Agreement and the Plan shall be resolved in accordance with the terms of the Plan. In the event of any ambiguity in this Agreement or any matters as to which this Agreement is silent, the Plan shall govern. A copy of the Plan is available upon request to the Administrator.

  • Conformity with XXXXX Filing The Prospectus delivered to the Agent for use in connection with the sale of the Placement Shares pursuant to this Agreement will be identical to the versions of the Prospectus created to be transmitted to the Commission for filing via XXXXX, except to the extent permitted by Regulation S-T.

  • Compliance with Xxxxxxxx Act requirements The contractor shall comply with the requirements of 29 CFR part 3, which are incorporated by reference in this contract.

  • Conformity with Applicable Law The Manager, in the performance of its duties and obligations under this Agreement, shall act in conformity with the Registration Statement of the Trust and with the instructions and directions of the Board of Trustees of the Trust and will conform to, and comply with, the requirements of the 1940 Act and all other applicable federal and state laws and regulations.

  • Submittal Requirements To comply with Subsection 4.1, Consultant shall submit the following:

  • Support Requirements If there is a dispute between the awarded vendor and TIPS Member, TIPS or its representatives may assist, at TIPS sole discretion, in conflict resolution or third party (mandatory mediation), if requested by either party. TIPS, or its representatives, reserves the right to inspect any project and audit the awarded vendors TIPS project files, documentation and correspondence. Status of TIPS Members as Related to This Agreement TIPS Members stand in the place of TIPS as related to this agreement and have the same access to the proposal information and all related documents. TIPS Members have all the same rights under the awarded Agreement as TIPS.
