Conflicting Transactions. During the Term, Alnylam shall not (a) transfer or assign any of its rights, title or interests in the Alnylam Technology other than as part of a transaction pursuant to which this Agreement is also assigned and assumed in accordance with Section 13 (Miscellaneous) of the Master Agreement, or (b) enter into any agreement granting a license or other right under the Alnylam Technology that is inconsistent with the terms of this Agreement.
Conflicting Transactions. The consummation of the transaction hereby contemplated and the performance of the obligations of Borrower and the Guarantor under and by virtue of the other Loan Documents will not result in any breach of, or constitute a default under, any lease, bank loan or credit agreement, or other agreement or instrument to which either the Borrower or the Guarantor is a party, bound or affected.
Conflicting Transactions. During the Term, Surface will not, and will cause its Affiliates not to, enter into any agreement granting a license or other right under the Surface Technology that is inconsistent with this Agreement. During the Term, Novartis will not, and will cause its Affiliates not to, enter into any agreement granting a license or other right under the Novartis Technology that is inconsistent with this Agreement.
Conflicting Transactions. During the Term, HMI will not, and will cause its Affiliates not to, enter into any agreement granting a license or other right under the HMI Licensed Technology that is inconsistent with this Agreement. Confidential Portions of this Exhibit marked as [***] have been omitted pursuant to a request for confidential treatment and have been filed separately with the Securities and Exchange Commission. Conflicting Transactions. The consummation of the transactions contemplated hereby and the performance of the obligations of the Authority and the Company under and by virtue of this Agreement and the other Grant Documents shall not result in any breach of, or constitute a default under, any contract, agreement, indenture, lease, loan or credit agreement to which any of them are parties or by which either is bound.
Conflicting Transactions. The execution, delivery and performance of this Agreement, the Notes, and all documents executed in connection herewith or therewith by Borrower will not violate the provisions of Borrowers' charter or by-laws; or constitute a default under or conflict with any indenture, mortgage, deed of trust, lease, agreement, contract, document, or other instrument to which Borrower is a party; or contravene any law, ordinance, rule, regulation, judgment, order, injunction, writ, or decree of any government or political subdivision or agency thereof, or any court or similar entity established by any of them, to which Borrower or its property is subject; or result in, or require, the creation or imposition of any lien upon or with respect to any property now owned or hereafter acquired by Borrower;
Conflicting Transactions. Pliant will not, and will cause its Affiliates not to: (i) grant any interest in any Pliant Technology or any Joint Patents or Joint Technology that is inconsistent in any material respect with the terms and conditions of this Agreement; (ii) grant to any Third Party, including any academic organization or agency, any rights to any Products except to the extent set forth in a Research Plan or Development Plan (subject to Sections 3.2 and 6.1(b)); or (iii) incur or permit to incur, any Encumbrances on the Pliant Technology or any Joint Patents or Joint Technology. Pliant will, and will cause its Affiliates to, use all reasonable precautions to preserve the confidentiality of any Pliant Know-How that has not be publicly disclosed prior to the Execution Date.
Conflicting Transactions. The consummation of the Loan and the performance of Borrowers’ Obligations under and by virtue of the Loan Documents, and Guarantor’s Guaranteed Obligations under the Guaranty, and the marketing and sale of Trust Properties, will not result in any breach of, or constitute a default under any lease or other agreement to which a Borrower or Guarantor is a party or by which a Borrower, Guarantor or any Collateral may be bound or affected, except where any such beach or default, could not reasonably be expected to result in a Material Adverse Effect.

Conflicting Transactions. During the Term, Sage will not, and will cause its Affiliates not to, enter into any agreement (or amend any agreement that Sage is a party to as of the Execution Date) granting any license or other right under any Sage Licensed Technology that is inconsistent with this Agreement. During the Term, Biogen will not, and will cause its Affiliates not to, enter into any agreement (or amend any agreement that Biogen is a party to as of the Execution Date) granting any license or other right under the Biogen Background Technology, Biogen Collaboration Technology or Biogen’s interest in the Joint Collaboration Technology that is inconsistent with this Agreement.
