Whenever requested by LICENSOR, whether during the Licensed Term or thereafter, LICENSEE shall execute such documents or applications as LICENSOR may deem necessary to confirm LICENSOR’S ownership of all their rights, to maintain the validity of the Marks and the copyright(s) referred to above in Section 7.2, and to obtain, or maintain any registration thereof.

HP shall respond to reasonable requests by Agilent concerning whether a particular HP ICBD Product will continue to be manufactured by Agilent.

Each Shareholder hereby confirms and agrees that as of the date of this Agreement the number of shares of Common Stock and options to purchase Common Stock set forth opposite such Shareholder's name on Annex A hereto is such Shareholder's entire equity interest in the Company and that any and all agreements heretofore entered into by such Shareholder with the Company contemplating the issuance of Common Stock or other equity interest in the Company to such Shareholder are no longer in effect.

As required under Section 3.2 of the OBP/Post License Agreement, ROSS xxxeby confirms that it has delivered to Fujitsu all Error Corrections made by or for ROSS xxxer the OBP/Post Development Agreement and, as provided in Section 2.1 of the OBP/Post License Agreement, ROSS xxxeby confirms that Fujitsu owns all Error Corrections made by or for ROSS xxxreunder.
