The Confidentiality of Source Code clause is designed to protect the proprietary nature of a party's source code by restricting its disclosure and use. Confidentiality of Source Code. Notwithstanding the terms of Section 5.1, Licensee agrees and shall cause its Affiliates (i) to maintain in confidence the source code of the Proprietary Misys Connect Software and any Improvements, Maintenance Releases and Upgrades thereto by using at least the same physical and other security measures as Licensee uses for its own confidential technical information and documentation, and no less than a reasonable degree of care; and (ii) not to disclose the source code of the Proprietary Misys Connect Software and any Improvements, Maintenance Releases and Upgrades thereto, or any aspect thereof, to anyone other than employees, contractors or agents who (a) have a need to know or obtain access to such information in order to support Licensee’s or its Affiliate Sublicensees’ authorized use of the Licensed Works and (b) are bound to protect such information against any other use or disclosure. Licensee’s obligations under this Section 5.2 shall not apply to any information (w) generally available to the public, (x) ascertainable based on the operation of the object code of the Licensed Works, (y) independently developed or obtained without reliance on Licensor’s information or (z) approved for release by Licensor without restriction.
Confidentiality of Source Code. Licensee agrees to maintain in confidence the source code version of the Licensed Software by using at least the same physical and other security measures as Licensee uses for its own confidential technical information and documentation, but in no case less than reasonable measures. Licensee further agrees not to disclose the source code version of the Licensed Software, or any aspect thereof (including, without limitation, header files), to anyone other than employees or contractors who have a need to know or obtain access to such information in order to support Licensee’s authorized use of the Licensed Software and are bound to protect such information against any other use or disclosure. These obligations shall not apply to any information generally available to the public, ascertainable based on the operation of the binary code version of Applications, independently developed or obtained without reliance on Rogue Wave's information, or as approved for release in writing by Rogue Wave without restriction.
Confidentiality of Source Code. The parties acknowledge and agree that the source code of the QUINTESSENCELABS Software constitutes confidential information and trade secrets of QUINTESSENCELABS. Accordingly, if Customer receives source code hereunder, Customer shall
(a) use the source code only in one Customer location and not transfer it or share it among multiple locations;
(b) inform any employee that is granted access to all or any portion of the source code of the importance of preserving the confidentiality and trade secret status of the source code;
(c) maintain a controlled, secure environment for the storage and use of the source code; and
(d) maintain the confidentiality of the source code in perpetuity.
Confidentiality of Source Code. Without limiting the rights and licenses set forth in this Agreement, each Party agrees that, for a period of fifteen (15) years from the Effective Date, it shall not disclose, or allow the disclosure of, the Hyprotech Products, Operator Training Products, or MUSIC Product in Source Code Form of any portion thereof to any person or entity (including, without limitation, any employee, agent or contractor of such Party), except (a) pursuant to a written confidentiality agreement that prohibits the recipient from disclosing such source code to any third party without the express written consent of the disclosing party and (b) if such consent is given, each Party shall require in writing that any further disclosure by the recipient is made only pursuant to a written confidentiality agreement that is no less protective of the Hyprotech Products, Operator Training Products, or MUSIC Products in Source Code Form than this Section 5.1, PROVIDED THAT Honeywell's foregoing obligations with regard to the Operator Training Products shall terminate upon the expiration of the OTS Term.
Confidentiality of Source Code. Licensee acknowledges Duke's claim that the Source Code is a valuable confidential property of Duke and is an unpublished works on which Duke holds the sole and exclusive copyright. Licensee agrees to maintain and protect the confidentiality of the Source Code and not to disclose it or use it for any purpose not contemplated by this Agreement. Licensee agrees to formulate and adopt appropriate safeguards, in light of its own operating activities, including, but not limited to, a) limiting access to only those employees actively involved in making Updates or Enhancements to the Licensed Software as allowed by this Agreement, b) making no more copies of the source code than strictly necessary for such activities, c) maintaining documentation of those who have access to the source code, d) not using the source code for any purpose other than making Updates or Enhancements for incorporation into Licensed Products as allowed by this Agreement, and e) instituting such other measures as Licensee would take to protect it's own proprietary information. Notwithstanding the provisions of Article 3 of this Agreement, 3 Licensee may, on a need-to-know basis and only as necessary for Licensee's internal development purposes or as may be required for regulatory approval for Licensed Products, disclose portions of the Source Code to its consultants who have entered into written confidentiality agreements with Licensee containing provisions at least as restrictive as those in this Agreement. Licensee shall immediately notify Duke of any information which comes to its attention which indicates that there has been any loss of confidentiality of the Source Code and immediately take steps to rectify such loss.

XOX agree to maintain in confidence the Source Code version of the Program(s) by using at least the same physical and other security measures as you use for your own confidential technical information and documentation. XOX further agree not to disclose the Source Code version of the Program(s), or any aspect thereof, to anyone other than employees or contractors who have a need to know or obtain access to such information in order to support XOX's authorized use of the Program(s) and are bound to protect such information against any other use or disclosure.
