Common use of Confidential Relationship Clause in Contracts

Confidential Relationship. Any information and advice furnished by any party to this Agreement to the other party or parties shall be treated as confidential and shall not be disclosed to third parties without the consent of the other party hereto except as required by law, rule or regulation. All information disclosed as required by law, rule or regulation shall nonetheless continue to be deemed confidential. The Adviser hereby consents to the disclosure to third parties of (i) investment results and other data of the Adviser or the Portfolio in connection with providing composite investment results of the Subadviser and (ii) investments and transactions of the Adviser or the Portfolio in connection with providing composite information of clients of the Subadviser.

The Adviser Manager hereby consents to the disclosure to third parties of (i) investment results and other data of the Adviser Manager or the Portfolio in connection with providing composite investment results of the Subadviser Adviser and (ii) investments and transactions of the Adviser Manager or the Portfolio in connection with providing composite information of clients of the SubadviserAdviser.

The Investment Adviser hereby consents to the Sub-Adviser's disclosure to third parties of (i) investment results and other data of the Investment Adviser or the Portfolio in connection with providing composite investment results of the Subadviser Sub-Adviser and (ii) investments and transactions of the Investment Adviser or the Portfolio in connection with providing composite information of clients of the SubadviserSub-Adviser.
