Conditions Precedent to the Transferors' Obligations. The obligations of the Transferors to assign and sell the DDS Shares to Black Diamond at the Closing in consideration for the Black Diamond Shares and to consummate the other transactions contemplated by Section 2 are subject to the satisfaction or waiver on or before the Closing Date, of each of the conditions set forth in this Section 9. The Transferors may not rely on Black Diamond's failure to satisfy any condition set forth in this Section 9 if the failure was caused by their own failure to act in good faith or to use all reasonable efforts to satisfy the conditions set forth in Section 8.
